12. The Livery Company shall provide adequate insurance and shall assume all liability <br /> associated with the provision of its services for Operation Uplift riders. The City shall be <br /> held harmless in all claims arising from the Livery Company's services for Operation <br /> Uplift riders. <br /> 13. Failure to comply with these operational requirements, or refusal to permit the City <br /> to monitor the Livery Company's compliance, shall be grounds for immediate suspension <br /> or termination of this Agreement. <br /> FEDERAL REPORTING REQUIREMENTS <br /> As required by the U.S. Department of Transportation, Federal Transit Administration(FTA), <br /> the Livery Company shall report information to the City to be included in the National Transit <br /> Database. Information to be reported shall include, but not be limited to, the following: <br /> 1. The Livery Company shall report monthly on any incident or accident involving a <br /> livery vehicle, providing Operation Uplift service at the time of the incident or accident, <br /> that results in: <br /> • Vehicle evacuation for life safety reasons; or <br /> • Property damage totaling at least$25,000; or <br /> • One or more injuries requiring immediate medical care away from the accident <br /> site; or <br /> • One or more fatalities. <br /> 2. The Livery Company shall report monthly the number of vehicles used to meet the <br /> maximum service requirement for Operation Uplift during the month. <br /> 3. The Livery Company shall report annually, for the period from July 1"through June <br /> 30th, on how operating revenues from Operation Uplift were spent by the Livery <br /> Company, reporting the percentages (not dollar amounts)broken down into four <br /> categories: <br /> • Driver and dispatcher wages and benefits; <br /> • Vehicle maintenance; <br /> • Facility maintenance; and <br /> • General administration. <br /> 4. The Livery Company shall report annually on the number and categories of vehicles, as <br /> of June 30th: <br /> • The total number of vehicles (including inactive and unusable vehicles) available <br /> for livery service; <br /> • The number of active,usable vehicles available for livery service; and <br /> • The number of active,usable vehicles that have wheelchair lifts or ramps. <br /> - 6 - <br />
