(d) Plats of survey prepared from current staked surveys, caused to be <br /> prepared by the City at its cost, of all real estate described on Exhibit B, and containing <br /> legal descriptions of the real estate, showing the location of all buildings and <br /> improvements thereon, and showing compliance with all applicable set back and other <br /> land use requirements; <br /> (e) A chattel mortgage,security interest,judgment and Federal lien search <br /> covering a date not later than fifteen(15) days prior to the Closing Date showing no chattel <br /> mortgages, security interests,judgment or Federal liens outstanding against the City; <br /> (f) A certificate of good standing of the City issued by its Cleric dated as of the <br /> Closing Date,with respect.to corporate.standing, incumbency of officers and their signatures, <br /> and providing certified copies of all resolutions authorizing the execution and <br /> performance by the City of this Agreement; <br /> (g) All necessary releases or statements from state or federal agencies respecting <br /> compliance with any applicable bulk sales laws,including tax provisions; <br /> (h) Opinion of counsel for the City addressed to ADM dated as of the Closing Date <br /> to the effect that: <br /> (1) All necessary and appropriate corporate action has been <br /> talcen by the City have been given to authorize the execution, <br /> delivery and performance of this Agreement and the instruments <br /> delivered by the City in the performance hereof,and this <br /> Agreement and the instruments delivered by the City to ADM are <br /> valid in accordance with their terms; and, <br />
