Mr. Keith Alexander, City of Decatur—April 30, 2012—Page 3 <br /> AGREEMENT FOR FINANCIAL SUPPORT <br /> Upon acceptance by the City, this letter shall constitute an agreement between the City of <br /> Decatur and AWL The City agrees to provide $25,000 in financial support to AWI during the <br /> period from May 2012 through April 2013. Twelve monthly payments of$2,083.33 each will be <br /> made by the City beginning in May 2012. This agreement may be terminated by either party <br /> provided that 5 calendar days written notice has been received by the other party. <br /> During the term of this agreement AWI agrees to maintain the insurance coverages stated in the <br /> attached Certificate of Liability Insurance and name the City of Decatur as an additional insured <br /> on all such coverages. <br /> AWI agrees to perform work as described herein. AWI further agrees to meet at least twice <br /> during the term of this agreement with Keith Alexander(and/or other representatives that may be <br /> designated by the City) to review AWI research and educational activities and discuss future <br /> directions and City priorities. Quarterly progress reports including financial summaries will be <br /> submitted to the City no later than 15 business days after July 31, October 31, and January 31. <br /> An annual report including an annual financial summary will be submitted to the City no later <br /> than 15 business days following April 30. It is understood and agreed by the parties that the City <br /> financial support to AWI will be leveraged by including it as match and indirect support on <br /> current and future grant-funded projects. <br /> All documents and records in the possession of AWI, sub-consultants, sub-contractors and any <br /> other person employed by AWI, sub-consultants or sub-contractors to perform a governmental <br /> function on the City of Decatur's behalf and directly related to the governmental function are <br /> subject to the Illinois Freedom of Information Act. AWI agrees to cooperate fully with the City <br /> to ensure the City's compliance with the Freedom of Information Act and agrees to hold the City <br /> harmless and indemnify it for any failure to so comply. <br /> Very truly yours, <br /> THE AGRICULTURAL WATER D INSTITUTE <br /> Stephen F.
