6.2 CLIENT shall be entitled to terminate this Agreement with or without cause, upon ten (10) days <br /> advance written notice to FGA, or upon five (5) days written notice to FGA in the event EPA or other <br /> agency terminates the CLIENT Contract. If so requested by CLIENT, FGA shall cease performing <br /> services as soon as practical after receipt of CLIENT's notice of termination. Except as provided above, <br /> both parties shall continue to perform their respective obligations during the period prior to termination. <br /> 6.3 FGA shall be entitled to terminate this Agreement with or without cause, upon thirty (30) days <br /> advance written notice to CLIENT. If so requested by CLIENT, FGA shall cease performing services as <br /> soon as practical after CLIENT's receipt of FGA's notice of termination. Except as provided above,both <br /> parties shall continue to perform their respective obligations during the period prior to termination. <br /> 6.4 Termination pursuant to this Section 6 shall not release CLIENT from its obligation to pay for <br /> services provided or expenses incurred through the date of termination and FGA's reasonable time and <br /> expenses involved in the termination or its disengagement. <br /> Termination shall not release FGA or CLIENT from its obligations under Section 8 of this Agreement. <br /> Section 7: Insurance <br /> 7.1 FGA,prior to the execution of the contract, shall obtain and keep in force during the performance of any <br /> and all work under this contract, the insurance coverages listed in Section 7.2, provided by an insurer or <br /> insurers acceptable to the CLIENT and authorized to transact business in the state of Illinois.The insurance <br /> companies must be rated by A.M. Best & Company with a rating not lower than A- and have a <br /> financial rating of VI. Coverage limits shall be written at not less than the minimum specified in this <br /> section. Higher minimum limits and additional coverages may be specified by a special condition <br /> elsewhere in the contract. <br /> 7.2 The insurance coverages and policy limits required by Section 7.1 are as follows: <br /> WORKERS Workers compensation insurance shall be provided according to <br /> COMPENSATION the provisions of the Illinois Workers Compensation Act,as <br /> amended. <br /> Employers Liability <br /> a.Each Accident$500,000 <br /> b: Disease-policy limit$500,000 <br /> c.Disease-each em loyee$500,000 <br /> COMMERCIAL GENERAL General Aggregate Limit$2,000,000 <br /> LIABILITY, Products-Completed Operations$2,000,000 <br /> Each Occurrence Limit$1,000,000 <br /> Insurance shall be written on an occurrence basis and shall provide <br /> coverage for:.operations of the contractor, subcontractors(if any),broad <br /> form property damage, contractual liability and the hazards of explosion, <br /> collapse and underground(if appropriate).An Umbrella policy may be used <br /> to provide excess limits over underlying policy(les)to meet the required <br /> limits of coverage. <br /> AUTOMOBILE LIABILITY: Bodily Injury&Property Damage, Combined Single Limit <br /> $1,000,000 <br /> The policy shall cover owned,nonowned,and hired vehicles. <br /> 4 2/15/2012 <br />
