Section 2. That the form, terms and provisions of the proposed Supplemental Bond <br /> Indenture be, and they hereby are, in all respects approved, and that the Mayor and the Clerk of <br /> the City be, and they hereby are, authorized, empowered and directed to execute, acknowledge <br /> and deliver the Supplemental Bond Indenture in the name and on behalf of the City, and <br /> thereupon to cause the Supplemental Bond Indenture to be delivered to the Bond Trustee; that <br /> the Supplemental Bond Indenture is to be in substantially the form of such Supplemental Bond <br /> Indenture now before this meeting and hereby approved, or with such changes therein as shall be <br /> approved by the officials of the City executing the same, their execution thereof to constitute <br /> conclusive evidence of their approval and this Council's approval of any and all changes or <br /> revisions therein from the form of the Supplemental Bond Indenture now before this meeting; <br /> and that from and after the execution and delivery of the Supplemental Bond Indenture, the <br /> officials, agents and employees of the City are hereby authorized, empowered and directed to do <br /> all such acts and things and to execute all such documents as may be necessary to carry out and <br /> comply with the provisions of the Supplemental Bond Indenture as executed. <br /> Section 3. That the form, terms and provisions of the proposed Seventh <br /> Supplemental Master Indenture be, and they hereby are, in all respects approved, and that the <br /> execution, acknowledgment and delivery of the Seventh Supplemental Master Indenture in the <br /> name and on behalf of the Hospital is hereby approved; that the Seventh Supplemental Master <br /> Indenture is to be in substantially the form of such Seventh Supplemental Master Indenture now <br /> before this meeting and hereby approved, or with such changes therein as shall be approved by <br /> the officials of the City executing the Supplemental Bond Indenture, their execution of the <br /> Supplemental Bond Indenture to constitute conclusive evidence of their approval and this <br /> Council's approval of any and all changes or revisions in the Seventh Supplemental Master <br /> Indenture from the form of the Seventh Supplemental Master Indenture now before this meeting. <br /> Section 4. That the form, terms and provisions of the proposed Amendment to Tax <br /> Exemption Agreement be, and they hereby are, in all respects approved, and that the Mayor of <br /> the City be, and he hereby is, authorized, empowered and directed to execute, acknowledge and <br /> deliver the Amendment to Tax Exemption Agreement in the name and on behalf of the City; that <br /> the Amendment to Tax Exemption Agreement is to be in substantially the form of such <br /> Amendment to Tax Exemption Agreement now before this meeting and hereby approved, or <br /> with such changes therein as shall be approved by the Mayor, the execution thereof to constitute <br /> conclusive evidence of his approval and this Council's approval of any and all changes or <br /> revisions therein from the form of the Amendment to Tax Exemption Agreement now before this <br /> meeting; and that from and after the execution and delivery of the Amendment to Tax Exemption <br /> Agreement, the officials, agents and employees of the City are hereby authorized, empowered <br /> and directed to do all such acts and things and to execute all such documents as may be <br /> necessary to carry out and comply with the provisions of the Amendment to Tax Exemption <br /> Agreement as executed. <br /> Section 5. That the Series 2010 Obligations shall be reregistered, as set forth in the <br /> table below, in such form as is approved by the officials of the City executing the Supplemental <br /> Bond Indenture (the "Reregistered Series 2010 Obligations"), with such execution to constitute <br /> conclusive evidence of such officials' and this Council's approval of the respective form of the <br /> Reregistered Series 2010 Obligations. <br /> 3 <br />
