CERTIFICATE OF THE CITY OF DECATUR,MACON COUNTY,ILLINOIS The undersigned, the Mayor and City Clerk, respectively, of the City of Decatur, Macon County, Illinois, a political subdivision of the State of Illinois (the "City"), acting for the City, do hereby certify that the City is a duly constituted and existing municipality within the meaning of Article VII of the 1970 Constitution of the State of Illinois and has a population in excess of 25,000, so that pursuant to Section 6(a) of Article VII of the 1970 Constitution of the State of Illinois, the Municipality is a "home rule unit," and do further certify as follows: 1. That we are the duly elected, qualified and acting Mayor and City Clerk, respectively, of the City, and, as such Mayor and City Clerk, we are familiar with the books and corporate records of the City. 2. That for the period for the period beginning October 21, 2010, and ending on the date of this certificate, the following were and are the duly qualified and acting officers of the City: Mike McElroy, Mayor Celeste Harris, City Clerk Ron E. Neufeld, Director of Financial Pat McDaniel, Council Mem Management/Treasurer 6 Jerry Dawson, Council Member Larry Foster, Council Member Patrick Laegeler, Council Member Dana Ray, Council Member Julie Moore-Wolfe, Council Member 3. That there is no litigation and there are no petitions pending or threatened affecting in any manner whatsoever the rights of the above-mentioned officials to hold said offices, or affecting in any manner whatsoever the organization of the City or its status as a"home rule unit" under the 1970 Constitution of the State of Illinois. 4. That attached hereto as Exhibit A is a true, complete and correct copy of an ordinance entitled "AN ORDINANCE authorizing the partial reissuance and current refunding of a portion of $16,524,000 Hospital Facility Revenue Bonds, Series 2010 (Decatur Memorial Hospital) (the "Series 2010 Bonds") by the City of Decatur, Macon County, Illinois (the "City") and the reregistration of the Series 2010 Bonds; approving the execution and delivery of a First Supplemental Bond Trust Indenture and an Amendment to Tax Exemption Agreement; and authorizing and approving certain other matters" (the "Ordinance"), duly adopted by the Council of the City (the "Council") at a duly called meeting of the Council held on January 17, 2012 by a vote of 6 (six) Council Members voting "Aye," 0 (zero) Council Members voting "Nay" and 1 (one) Council Members absent or not voting; that the Ordinance was approved by the Mayor on January 17, 2012; that attached to the Ordinance is that portion of the minutes of said meeting showing the adoption of the Ordinance; that at said meeting a quorum was present and
