WHEREAS, there has been presented to the Council of the City a form of Memorandum <br /> of Agreement (the "Memorandum of Agreement") between the Hospital and the City, which sets <br /> forth certain understandings of the Hospital and the City with respect to the Series 2010 Bonds; <br /> and <br /> WHEREAS, a Notice of Public Hearing concerning the public hearing to be held on <br /> November 1, 2010 with respect to the issuance of the Series 2010 Bonds has been published; <br /> NOW, THEREFORE, BE IT ORDAINED by the Council of the City of Decatur, Macon <br /> County, Illinois, as follows: <br /> Section 1. That the City is a home rule unit under the provisions of the 1970 <br /> Constitution of Illinois and, as a home rule unit, may, under the powers granted by Section 6(a) <br /> of Article VII thereof, "exercise any power and perform any function pertaining to its <br /> government and affairs." That this Ordinance is adopted pursuant to the City's home rule <br /> powers and in accordance with the Enabling Ordinance, any provisions contained in the Illinois <br /> Municipal Code to the contrary notwithstanding. <br /> Section 2. That the form, terms and provisions of the Memorandum of Agreement <br /> be, and they hereby are, in all respects approved, and that the Mayor and City Clerk of the City <br /> be, and they hereby are, authorized, empowered and directed to execute and deliver the <br /> Memorandum of Agreement in the name and on behalf of the City; and that the Memorandum of <br /> Agreement is to be in substantially the form before this meeting and hereby approved, or with <br /> such changes therein as shall be approved by the Mayor and the City Clerk, with such execution <br /> to constitute conclusive evidence of their approval and the approval of the Council of any and all <br /> changes or revisions therein from the form of Memorandum of Agreement before this meeting; <br /> and that from and after the execution and delivery of the Memorandum of Agreement, the <br /> officials, agents and employees of the City are hereby authorized, empowered and directed to do <br /> all such acts and things necessary to carry out and comply with the provisions of the <br /> Memorandum of Agreement as executed. <br /> Section 3. The members of the Council, officers, agents and employees of the City <br /> are hereby authorized and directed to do all such acts and things and to execute all such <br /> documents as may be necessary to carry out and comply with the provisions of this Ordinance <br /> and the documents attached hereto, respectively, and all of the acts and doings of the members, <br /> agents and employees of the City which are in conformity with the intent and purposes of this <br /> Ordinance, whether heretofore or hereafter taken or done, shall be and are hereby ratified, <br /> confirmed and approved. <br /> Section 4. That from and after the execution and delivery of said documents, the <br /> proper officials, agents and employees of the City are hereby authorized, empowered and <br /> directed to do all such acts and things and to execute all such documents as may be necessary to <br /> carry out and comply with the provisions of said documents as executed, and to further the <br /> purposes and intent of this Ordinance, including the preamble hereto. <br /> CHI-1771509v6 <br />
