Developer shall submit to Owner such invoices, with executed mechanic's lien waivers or other <br /> applicable documentation reflecting the most recent prior payment to such party then requesting payment. <br /> Owner shall pay to Developer a fee equal to ten percent(10%) of the approved Costs to be paid at the <br /> time Owner submits invoices requesting payment. <br /> Article 5 -Expenses to Developer <br /> Except for those expenses specifically included in the"Responsibilities of Developer" as <br /> described in Article 3 (to be paid by Owner pursuant to Article 4), Developer shall pay all expenses <br /> incurred by it in the performance of its duties under this Agreement,without any reimbursement from <br /> Owner. <br /> Article 6 -Assignment <br /> Developer shall not have any rights to assign its rights or obligations under this Agreement, and <br /> any such assignment shall be void without the prior written consent of Owner. <br /> Article 7 -Governing Law <br /> This Agreement shall be governed by and construed in accordance with the laws of the State of <br /> Illinois. <br /> Article 8-Termination of Contract <br /> If Developer shall fail to substantially perform in accordance with the terns and conditions of this <br /> Agreement, Owner may, after giving written notice of such default to Developer and Developer failing to <br /> cure such default within thirty (30) days after receipt of such notice, terminate the employment of <br /> Developer. <br /> Article 9 - Entire Agreement <br /> This Agreement constitutes the entire agreement between the parties. No previous or subsequent <br /> oral or implied representations, agreements or understandings shall vary its terms and it may be amended <br /> only by an instrument in writing subsequently executed by the parties. <br /> Article 10 - Severability <br /> If any term, covenant or condition of this Agreement or the application thereof to any person or <br /> circumstance shall to any extent be invalid or unenforceable, the remainder of this Agreement or the <br /> application of such term, covenant or condition to persons or circumstances other than those to which it is <br />
