Official Statement to enable the Underwriter to comply with the requirements of <br />paragraph (b)(4) of Rule 15c2-12 and Rule G-32 of the Municipal Securities Rulemaking Board. <br />(b) The City hereby covenants and agrees to enter into a written agreement or contract, <br />constituting an undertaking (the "Undertaking") to provide ongoing disclosure about the City, <br />for the benefit of the beneficial owners of the Bonds on or before the date of delivery of the <br />Bonds as required under paragraph (b)(5) of Rule 15c2-12. The Undertaking shall be as <br />described in the Preliminary Official Statement, with such changes as may be agreed to in <br />writing by the Underwriter. Except as noted in the Official Statement, there have been no <br />instances in the previous five years in which the City has failed to comply, in all material <br />respects, with each and every undertaking previously entered into by it pursuant to Rule 15c2-12. <br />3. The City represents and covenants to the Underwriter that: <br />(a) the City has had, has and will have at the Closing the power and authority <br />to enter into and perform this Agreement, to adopt the Bond Ordinance and to deliver and <br />sell the Bonds to the Underwriter; <br />(b) this Agreement and the Bonds do not and will not conflict with or create a <br />breach or default under any existing law, regulation, order or agreement to which the City <br />is subject or by which it is bound; <br />(c) no governmental approval or authorization other than the Bond Ordinance <br />is required in connection with the sale of the Bonds to the Underwriter; <br />(d) this Agreement is, and this Agreement and the Bonds will be at the time of <br />the Closing, the legal, valid and binding obligations of the City enforceable in accordance <br />with their respective terms, subject only to applicable bankruptcy, insolvency or other <br />similar laws generally affecting creditors' rights and subject to the exercise of judicial <br />discretion; <br />(e) the information in the Preliminary Official Statement (except as changed <br />by the Official Statement) was, and in the Official Statement is, true and correct in all <br />material respects and did not and does not omit any statement or information required to <br />be stated therein or which is necessary to make the statements and information contained <br />therein not misleading in any material respect; <br />(f) there is no action, suit, proceeding, inquiry or investigation, at law or in <br />equity, before or by any court, public board or body, pending or, to the knowledge of the <br />City, threatened against or affecting the City in any material respect or affecting the <br />corporate existence of the City, the titles of its officers to their respective offices or the <br />boundaries of the City, or seeking to prohibit, restrain or enjoin the sale, issuance or <br />delivery of the Bonds or in any way contesting or affecting the transactions contemplated <br />hereby or the validity or enforceability of the Bonds, the Bond Ordinance or this <br />Agreement or contesting in any way the completeness or accuracy of the Preliminary <br />Official Statement or the Official Statement, or contesting the powers of the City or any <br />-2- <br />
