. � <br /> � b. The City shall not be responsible for the maintenance for any fixture or other <br /> �� improvement placed by ADM pursuant to Subsection a hereof. With regard to <br /> m such fixtures or installations ADM does hereby release, discharge, indemnify and <br /> ^� hold harmless the City and the City Council members, City employees, officers <br /> '�' and agents in both individual and official capacities from any and all claims, <br /> '� demands, damages, rights of action, or causes for personal or bodily injury, <br /> � death or property damage directly arising out of the operation and use of such <br /> '� fixtures and installations. At the termination of this Lease it shall be the <br /> �� responsibility of ADM to remove such fixtures or installations at the request of the <br /> � City and to return Garage B to its previous condition. <br /> 0 <br /> 0 <br /> .� <br /> 13. Notices. Any notice or demand required or permitted be given or made hereunder <br /> shall be sufficiently given or made by certified mail in the following manner: <br /> a. If to the CITY: <br /> City of Decatur, Illinois <br /> Attention: City Manager <br /> One Gary K. Anderson Plaza <br /> Decatur, Illinois 62523 <br /> b. If to ADM: <br /> Archer-Daniels-Midland Company <br /> 4666 Faries Parkway <br /> Decatur, Illinois 62526 <br /> Attention: General Counsel <br /> c. Any such notice or demand shall be deemed to have been given or made at the <br /> time it is deposited in the U.S. Mail. ADM or the City may from time to time <br /> designate any other address for this purpose by written notice to the other party. <br /> 14. Riqht and Dutv to Substitute Spaces. During the term of this Lease, the City shall <br /> have the right to substitute other parking spaces, it may own or control, in lieu of the <br /> original parking spaced provided in this lease. However, in exercising its right of <br /> substitution the City shall first give ADM at least thirty (30) days notice of the change, <br /> and the substituted spaces shall be of the like-kind and quality as the spaces <br /> presently leased, and shall be located a distance acceptable to ADM to the ADM <br /> offices located at 247 E. North Street and 350 N. Water Street. In the event, at any <br /> time during the term of this Lease, some or all of the Parking Spaces cannot be used <br /> by ADM, the City shall provide and lease to ADM substitute spaces of like kind and <br /> quality and like proximity to the ADM offices located at 247 East North Street and <br /> 350 North Water Street. <br /> 15. Waiver. Failure or delay on the part of ADM or the City to exercise any right, power <br /> of privilege hereunder shall not operate as a waiver hereof. <br />
