At such time as ADM purchases the Premises and ADM has located 500 or more �+ employees at the Global Training Center and the Premises (combined), the City shall execute a ;� Amendment to the Lease Agreement (substantially in the form as Exhibit E hereto) to lease at �,� no charge, all parking spaces located in City's parking deck located at the intersection of North � Water Street and North Street to ADM. � � 3. At such time as ADM purchases the Premises, and ADM has located 600 or � more employees at the Global Training Center and the Premises (combined), the City shall, for p ADM's exclusive use, provide and assign at no charge, 157 parking spaces located at the � Der,atur Civic Center parking lot as described at Exhibit C hereto to ADM. These 157 parking `� spaces shall be available to ADM for ADM's exclusive use at all times during the term of the Lease referenced at paragraph 2 above and at any and all times during the term of the Lease when ADM has 600 or more employees at the Global Training Center and the Premises (combined). 4. At such time as ADM purchases the Premises and ADM has located 500 or more employees at the Global Training Center and the Premises (combined), and thereafter files a request to vacate such, the City agrees to vacate the 300 block of State Street located directly between the Premises and the Global Training Facility 5. At such time as ADM purchases the Premises and at any time after ADM has located 600 or more empl�yees at the Globa► Training Center and the Premises (combined) and at any time thereafter, ADM shall have the option of demanding the construction of a walkway, above or below Franklin Street at or near its intersection with William Street. In the event of such demand, the City shall construct, at the City's expense, a pedestrian walkway, above or . below Franklin Street at or near its intersection with William Street. Such construction shall be completed within six (6) months of ADM's demand. 6. At such time as ADM purchases the Premises, the City agrees that it will maintain a green space currently located in the 300 block of Water Street on the east side, more particularly described in Exhibit D, attached hereto, so long as ADM owns and occupies Premises and maintains employees at the Premises. 7. At all times during the construction and remodeling work performed by ADM at the Premises, the City agrees to install and maintain parking meter bags on meters located at the 300 block of North Water Street and the 300 block of State Street, for the benefit of ADM employees, agents, and contractors involved in the construction or remodeling work. 8. All of the obligations described above in this Agreement between the parties shall terminate in the event ADM fails to acquire ownership of the Premises by March 31;2011. , 9 If any section, term or provision of this Agreement or the application thereof shall be found or held to be invalid or unenforceable, the remainder of such section, term or provision I of the Agreement other than those to which it is held invalid or unenforceable shall not be �'I affected thereby.
