<br /> RDLLC or its officers, employees, directors, agents or contractors, resulting from or
<br /> arising out of RDLLC's use of the premises. RDLLC does hereby fully and forever on
<br /> its own behalf release and discharge the City and the City Council members, City
<br /> employees, officers, invitees and agents, in both individual and official capacities,
<br /> from any and all claims, demands, damages, rights of action, present or future,
<br /> whether the same be known, anticipated or unanticipated, whether due to negligence
<br /> or otherwise, resulting from or arising out of RDLLC's use of the premises, except as
<br /> resulting from the City's violation of any term of this Lease.
<br /> 8. Indemnification. RDLLC shall indemnify and hold harmless the City and its City
<br /> Council members, officers, employees or agents in both individual and official
<br /> capacities, from all claims for bodily injury, death or property damage directly
<br /> resulting from RDLLC's use of the premises, and from all costs, demands, suits,
<br /> losses, attorney's fees and liabilities incurred in or about any such claims for bodily
<br /> injury, death or property damage, or any action or proceeding brought thereon. This
<br /> indemnification shall not apply to claims, costs, demands, suits, losses, atorney's fees
<br /> and liabilities resulting from any third party, not associated with or employed by
<br /> RDLLC, use of or presence at the parking spaces or premises or arising from the
<br /> City's violation of any term of this Lease.
<br /> 9. Insurance Requirements. RDLLC shall obtain at its expense, and keep in force
<br /> during the term of this Lease, comprehensive general liability and property damage
<br /> insurance in an amount of not less than $1,000,000 single limit, $2,000,000 aggregate,
<br /> for bodily injury, death and property damage to any one person and subject to the
<br /> same limitations for any one occurrence. The comprehensive general liability policy
<br /> shall include coverage for premises and operations, a blanket contractual liability
<br /> coverage which includes the indemnification agreement contained in the preceding
<br /> paragraph, broad form property damage, independent contractors and personal injury
<br /> liability coverage. The policy issued for the above-described coverage shall name the
<br /> City as an additional insured. Such insurance shall not be cancelled prior to the
<br /> termination of this Lease.
<br /> 10. Certificate of Insurance. Prior to the commencement of the terms of this Lease,
<br /> RDLLC shall file with the City, and at all times thereafter during the term of this
<br /> Lease keep in full force and effect, a Certificate of Insurance, in a form acceptable to
<br /> the City's Risk Manager, signed by an authorized agent of the insurance company or
<br /> companies writing the insurance described in said Certificate showing complete
<br /> coverage of all insurance required in this Lease. Such Certificate shall certify to the
<br /> following:
<br /> a. Name and address of party insured;
<br /> b. Name(s) of the insurance company or companies;
<br /> c. Name and address of the authorized agent executing such Certificate;
<br /> d. The description of the type of the insurance and the coverage afforded thereunder;
<br /> e. The insurance policy numbers;
<br /> f. The limits of liability of such policies and the date of expiration of the policies.
