(ui) Affidavits. Affidavit(s) statmg that, to the best of the <br /> Municipality's knowledge after due inquiry, (1) there are no <br /> unrecorded leases or agreements affecting the Premises, (2) there <br /> are no mechanic's or statutory liens against the Premises, and (3) <br /> such other affidavits as Developer, its lender, or the title company <br /> may reasonably require. <br /> (iv) Notes. Execution and delivery of Notes as required pursuant to this <br /> Agreement. <br /> (v) Delivery of Reports/Assignment of Warranties. Delivery of all ex- <br /> isting inspection reports, contracts, photographs, and other docu- <br /> ments as requested by Developer concerning the Premises, a certi- <br /> ficate of origination of the soil used to fill the hole on the Premises <br /> and the written assignment to Developer of all warranties <br /> pertaining to the Premises. <br /> (vi) Survey• Delivery of a plat of survey of the Premises by a land <br /> surveyor licensed in Illinois (to be selected by Developer) with an <br /> accurate legal description for purpose of preparing and recording <br /> a Deed to convey the Premises to Developer as a single tract. The <br /> survey shall show that there are no encroachments of buildings or <br /> other improvements from adjoining properties and the location of <br /> all easements affecting the Premises. The Developer shall pay the <br /> land surveyor's fee to prepare the plat of survey. <br /> (vii) Authorizing Ordinance. Delivery of duly adopted authorizing <br /> ordinances and resolutions by Municipality's City Council <br /> authorizing the Municipality to execute this Agreement including <br /> the Note, and as otherwise necessary to effectuate the terms and <br /> conditions of this Agreement. <br /> 4. Developer's Deliveries. At the Closing, Developer shall deliver to <br /> Municipality the Purchase Price, subject to any adjustments provided by <br /> this Agreement. Payment shall be in cash, by federal wire transfer or by <br /> cashiers or certified check. <br /> 5. Possession, Risk of Loss. Possession of the Premises shall be delivered to <br /> Developer at time of Closing. Risk of loss to said Premises and <br /> improvements thereon prior to Closing shall remain with Municipality. <br /> D. CLOSING COSTS. <br /> 1. Municipalitv's Closing Costs. Municipality shall pay: (i) any transfer <br /> taxes, including any t�es on the Deed, any documentary fees, transfer <br /> fees or taxes, and sales t�es, including any taxes on the Deed, for <br /> - 4 - <br />
