<br /> COLLATERAL ASSIGNMENT OF REDEVELOPMENT AGREEMENT
<br /> As additional security for the performance by NIEMANN HOLDINGS, LLC, an Illinois limited liability
<br /> company("Owner")of all the obligations under a certain Promissory Note and Construction Loan Agreement, each
<br /> dated June 30, 2010, by and between Owner and HICKORY POINT BANK & TRUST, fsb ("Lender"), Owner
<br /> hereby grants a security interest in and collaterally sells, assigns, transfers and sets over unto Lender, its successors
<br /> and assigns, all right,title or interest of Owner in and to that certain Redevelopment Agreement between Owner and
<br /> the City of Decatur ("City") dated as of November 30, 2009, and all TIF Notes arising therefrom or thereunder
<br /> (collectively,the"Agreement").
<br /> Provided, however, that until Lender, its successors and assigns, shall exercise the rights hereby granted,
<br /> Lender shall have no obligation or Liability under the Agreement, and Owner hereby agrees to save and hold
<br /> Lender,its successors and assigns,harmless of and from,and to indemnify them against any and all such obligations
<br /> and liabilities,contingent or otherwise.
<br /> This Assignment shall be binding upon and inure to the benefit of the successors and assigns of Lender and
<br /> Owner and shall continue in full force and effect until all of the obligations and indebtedness due Lender secured
<br /> hereby, whether heretofore or hereafter incurred, shall have been fully paid at which time this Assignment shall
<br /> terminate. It is understood and agreed that Lender will not exercise any rights under this Assignment, until the
<br /> occurrence of an event of default under the aforesaid promissory note or loan agreement, or related security
<br /> documents or agreements.
