AMENDMENT TO THE POWER SALE AGREEMENT <br /> This Amendment to the Power Sale Agreement("Amendment")dated as of May 03, 2010 is hereby made <br /> by and between Integrys Energy Services, Inc. ("Seller") and City of Decatur ("Buyer"). Buyer and <br /> Seller are sometimes hereinafter referred to individually as"Party"and collectively as"Parties". <br /> In consideration of the promises and mutual covenants set forth below, the Parties agree to amend the <br /> Power Sale Agreement between the Parties with an Effective Date of 05/03/2010 (as may have been <br /> amended from time to time,the"AgreemenY')as follows: <br /> 1. In the fifth sentence of Section IV(B)of the Agreement, "10 calendar days"is hereby replaced <br /> with"45 calendar days". <br /> 2. This Amendment may be executed and delivered in counterparts(including facsimile <br /> transmission), each of which will be deemed an original and all of which together will constitute one and <br /> the same instrument. By way of clarification however,this Amendment will not be effective unless both <br /> Parties have executed a counterpart. <br /> 3. By signing below, each individual additionally warrants that he or she is authorized to sign this <br /> Amendment on behalf of the Party for which it was executed. <br /> 4.
