<br /> 3. Confidentiality: The Licensec a�•ees Q�ai the Products are prok�rietary to the Licensor and have Uec��developed as a trade se�,ret at the
<br /> l.icensor's expense.7�he Licensee agrees to keep tite software products confidential and use its besi efforis to prevei�t ai3y Enisuse,
<br /> unauthorized use or urtauthorized disclosures by any paity of an}�or al[of the Products or accompanying documcntation.
<br /> 4. �llodification: The Prociucts may be t��odiiied but such modification shali be only for the use on the Licer�see's systen�for which the
<br /> Products a�e licensed aud shall not cause the I:ice��see or anyonc perforiYxing sucl�modirication to gain ai:y proprietary or other interest
<br /> in the Pro�ucts.
<br /> 5. Copies: The Licensee may make copies of the licensed Products tbr archive puiposes only.'Che I icensee wil l repeat any proprictary
<br /> notace on tl�e copy of the PrUduct.The documentation accompaitying tite��roduct may aaot be copied except for uatetzzal use.

<br /> Agreement,lin�ited to a reasonable numUer of calls of reason�ble diiration. nssistance and sul�port requests,wliicli require '
<br /> special assistance fi-om MUNIS's development group,will be taker�and directed by support personnel. In the event that support
<br /> representatives are unavail��ble to receive calls,�nessages wiil be taken a�id calls will be rehu�aed witl�in one working day.
<br /> b.) b1iINIS will continue Yo maintain a rnaster set of tlre current compuler progranls on appropriate media,as��el f as haidcopy
<br /> printout of source code progtams ancl documentation.
<br /> c.) i�9(?NIS will maintain staff that is appropriately U-ained to Ue lamiliar with Licensee's software progi ams that are listed i��Section
<br /> IV in order to render assistance,should it be required.
<br /> d.j h1UN1S will provide t,icensee�j•itli atl yrogra�n enhancements,modificatio�s or updates that NfUv1S may make to tl�e then
<br /> Current Rclease oCtlie program a��plicaiiot�s covered in this Agreement.
<br /> e.) In the case of system sciftware ne��Release(s),the Licensec will also be required to pay�vhatever fees the nianufacturer cliarges
<br /> to�1UNIS for the new Retease. I.,icensee understands th�t and a�n•ces that six(6)nionths after sl�ipn�ent by N1I1N1S of new
<br /> ttelf;ases,N1UN1S shall cease to support d�e earlier itelease and for lhe balance of die tenn,�4I�NTS shali support die new
<br /> Release.
<br /> f.) MUN[S«�iU make avai3abte apa�ropriately traincd perso�anel to provide Licensee additional traini�ag,program changes,ax�alysis,
<br /> consultation,recovery of data conversion,��on-coverage maintenance service,et�.,billable at the curret�t per dietn rate. All
<br /> expenscs will be billed in accordance with the then cun-ent'['yler"1'ravcl Policy.
<br /> 2. I.Iznitatiais and Exclusions: "fhe support and services of this Agreement do uot indude the foliowing:
<br /> a.) Icistallation of the Licensed Sofi�vare,onsite support,application design,and other consultin�services,or any support requested
<br /> outside of nornial business hours.
<br /> b.j The Licensee shall be responsible for implementing at its expense,all ci�anaas to t3�e Cun�ezit Release. I.icensee understands that
<br /> chanbes fumished by MLINIS for d�e Cun�ent SoCtwace Release are for iAnp3emeutation in tl�e Cu�rent Software 12elease,as it
<br /> exisG�without custoa�lzation or Licensee alteration.
<br /> 3. Licensee Res�onsibilities:

<br /> adequate facilities widiin a reasonable distance from the equipment;and use of macl�ines,attacku7�ents,features,or other
