5. It is understood and agreed that the compensation recited in section 4 includes usual and <br /> ordinary costs and expenses. If CURRY, determines that there is a need to incur <br /> extraordinary costs and expenses in the performances of Services hereunder, then in that <br /> event THE CLIENT shall reimburse CURRY, for the same, provided the nature and amount <br /> and circumstance thereof are fully disclosed to and approved by THE CLIENT prior to the <br /> time the same are incurred, and upon receipt of a detailed accounting of all such <br /> extraordinary costs and expenses. <br /> 6. In the event that a possible conflict of interest arises at any time during the term of this <br /> Agreement between the interests of THE CLIENT and those of CURRY'S other clients, CURRY <br /> agrees to notify THE CLIENT thereof promptly and shall, if so directed by THE CLIENT, refrain <br /> from performing Services with respect to such area of conflicting interest. <br /> 7. CURRY and THE CLIENT agree to comply fully with all applicable federal, state and local laws <br /> regulating political and lobbying activities and each agrees to fully comply will all applicable <br /> laws, decrees, rules, regulations, orders, ordinances, actions and requests of any federal, <br /> state or local government or judiciaf body, agency or official pertaining to its performing <br /> services. <br /> 8. Upon execution of this agreement both parties agree to immediately comply with the <br /> Illinois Lobbyist Disclosure Act and register their respective companies/organizations with <br /> the Illinois Secretary of State Index Department. <br /> 9. CURRY, will assume full responsibility for and shall indemnify and hold harmless THE CLIENT <br /> from and against any and all losses, claims, liabilities, penalties, fines, causes of action, <br /> damages, costs and expenses arising out of or resulting from any negligence or wrongful or <br /> willful misconduct on the part of CURRY, or any breach by CURRY, of any of the terms and <br /> provisions of this Agreement. <br /> 10. THE CLIENT will assume full responsibility for and shall indemnify and hold harmless CURRY, <br /> from and against any and all losses, claims, liabilities, penalties, fines, causes of action, <br /> damages, costs and expenses arising out of or resulting from any negligence or wrongful or <br /> willful misconduct on the part of THE CLIENT or any breach by THE CLIENT of any of the <br /> terms and provisions of this agreement. <br /> 2 <br />
