Mr.Keith Alexander, City of Decatur—May 12,2009—Page 3 AGREEMENT FOR FINANCIAL SUPPORT Upon acceptance by the City, this letter shall constitute an agreement between the City of Decatur and the Agricultural Watershed Institute. The City agrees to provide $25,000 in financial support to AWI during the period from May 2009 through Apri12010. Twelve monthly payments of$2,08333 each will be made by the City beginning in May 2009. This agreement may be terminated by either party provided that 5 calendar days written notice has been received by the other party. During the term of this agreement AWI agrees to maintain the insurance coverages stated in the attached Certificate of Liability Insurance and name the City of Decatur as an additional insured on all such coverages. AWI agrees to perform work as described herein. AWI further agrees to meet at least twice during the term of this agreement with Keith Alexander and John Smith (or other representatives that may be designated by the City) to review AWI research and educational activities and discuss future directions and City priorities. Quarterly progress reports including financial summaries will be submitted to the City no later than 15 business days after July 3l, October 31, and January 3l. An annual report including an annual financial summary will be submitted to the City no later than 15 business days following April 30. It is understood and agreed by the parties that the City financial support to AWI will be leveraged by including it as match and indirect support on current and future grant-funded projects.
