each mortgagor. The amount and type of such fees shall not be unreasonable and shall include <br /> only those which are permissible under Treasury Regulation Section 1.25-4T(h)(2). <br /> Section 3. Approval of the Issuance of Certificates. The members of the City Council <br /> hereby authorize and approve the issuance of Certificates pursuant to the Program Documents. <br /> The total proceeds of the Certificates shall not exceed 25% of the principal amount of Qualified <br /> Mortgage Bonds elected not to be issued pursuant to the Election. The Certificates shall be in <br /> such fortns and amounts as shall be set forth in the Program Documents or as otherwise required <br /> by the Code. <br /> Section 4. Approval, Execution and Delivery of the Program Documents. The <br /> execution and delivery of the Cooperation Agreement and the Progratn Documents are hereby <br /> approved in such form and substance as shall be approved by the officers of the City executing <br /> the same, and the Mayor, City Clerk, City Manager and Director of Financial Management of the <br /> City are each hereby authorized to execute the Cooperation Agreement and the Program <br /> Documents and to deliver the Cooperation Agreement and teh Program Documents to the other <br /> parties thereto. <br /> Section 5. Ratification of Election. The execution and filing of the Election with the <br /> Internal Revenue Service by or on behalf of an officer or officers of the City are hereby ratified <br /> and confirmed. <br /> Section 6. Appointment of Special Tcrz Counsel. The members of the City Council <br /> hereby appoint Greenberg Traurig, LLP as special tax counsel in connection with the <br /> establishment of the Program and the issuance of the Certificates, and authorizes Greenberg <br /> Traurig, LLP to prepare the necessary documentation and to take any and all such actions on <br /> behalf of the City and IHDA as may be necessary in connection withl the establishment of the <br /> Program and the issuance of the Certificates. <br /> Section 7. Public Notice. Public notice of the eligibility requirements for the Program <br /> and the other information required by the Code shall be published once in a newspaper or <br /> newspapers of general circulation in the Program Area as required by th� Code. <br /> Section 8. Volume Cap. The allocation to the Program of the entire amount of the <br /> City's unused "volume cap," as defined in Section 146 of the Code, from the Carry-Forward <br /> Election from calendar year 2004 for Qualified Mortgage Bonds and Mortgage Credit <br /> Certificates, or such lesser amount, as determined by the officer and sp�ecified in the Election, is <br /> hereby ratified and confirmed. <br /> Section 9. Execution and Delivery of Other pocuments. The Mayor, City Clerk, City <br /> Manager and Director of Financial Management of the City are each hereby authorized to <br /> execute and attest to such other agreements, assignments, bonds, certificates, contracts, <br /> documents, instruments, releases, financing statements, letters of instruction, written requests and <br /> other papers, whether or not mentioned herein, as may be necessary or�onvenient to carry out or <br /> assist in carrying out the purposes of this Ordinance. <br /> - 3 - <br />
