<br /> connection with, or associated with, any lawsuit, action, litigation, cause of action, or proceeding
<br /> arising therefrom.
<br /> (c) The Employee shall,within five(5)calendar days of its occurrence,report,in writing,
<br /> to the City any judgment of conviction entered against the Employee by a court of competent '
<br /> jurisdiction on any charge originally or amended to include a felony, or a crime of moral turpitude,
<br /> and similarly report,in writing,to the Employee of any act or omission constituting criminal activity
<br /> occurring on any property of the City,affecting any property of the City,or directed against the City.
<br /> 34. Post Emplovment Restrictions. In addition to other duties and obligations of
<br /> the Employee which survive the termination of the Agreement, the Employee further is barred and
<br /> prohibited, for a period of two (2) calendar years from the date of terrnination of the Agreement,
<br /> from engaging in any activities,whether as a principal,employee,agent,''�partner,consultant,advisor
<br /> or attorney, related to lobbying the City or seeking business from the �ity absent express, written
<br /> permission from the Council.
<br /> 35. Survival of Obligations. Notwithstanding anything to the contrary herein, the
<br /> duties, obligations and liabilities described in §§ 19, 21, 22, 27, 28, 29, 34, 37 and 43 shall survive
<br /> the termination of this Agreement.
<br /> 36. Assignments and Successors. The parties hereto are barred from assigning or
<br /> delegating the rights and/or duties set forth herein,and any attempted assignment or delegation shall
<br /> be deemed null and void for all purposes.
<br /> 37. Applicable Law,Jurisdiction and Venue. The Agreement shall be considered to
<br /> be entered into in the City of Decatur, County of Macon, State of Illinois, and this Agreement shall
<br /> be enfarced, interpreted and construed in accordance with the laws of the State of Illinois
<br /> notwithstanding any conflict of laws provision of any other jurisdiction. Any action seeking or
<br /> requiring the interpretation, construction or enforcement hereof shall be brought before the Circuit
<br /> Court, to the exclusion of all other venues. The parties hereto irrevocably consent to the exercise
<br /> of subject matter and in personam jurisdiction by the Circuit Court.
<br /> 38. Waivers. No waiver of any provision hereof shall be effective unless made in
<br /> writing and signed by the waiving party or parties. The failure of any party to require the
<br /> performance of any term or obligation of the Agreement, or the waiver by any party of any breach
<br /> of the Agreement, shall not prevent any subsequent enforcement of such term or obligation or be
<br /> deemed a waiver of any subsequent breach. ,
<br /> 39. Exclusive Agreement. The parties hereby coven�nt and agree that, as of the
<br /> Effective Date hereof, there exist no other agreements between them relating in any manner to the
<br /> subject matterhereof,except the Agreement,and matters expressly identified herein. Such constitute
<br /> the full and complete understanding of the parties hereto relating to the subject matter hereof, and
<br /> no other agreement or representation relating to such has been made outside of the terms hereof.
