C. Notwithstanding anything to the contrary, no consent shall be equired, however, for(1)a <br /> transfer of an agreement or any interest therein to an Affiliate or (2) a tr sfer in trust, by mortgage, <br /> hypothecation, or by assignment of any rights, title or interest of the Provider in the Franchise <br /> Agreement or Competitive Video Service Agreement or the s stem in order to secure <br /> indebtedness. <br /> D. Any request for consent to a transfer of its Franchise greement or Competitive <br /> Video Service Agreement or change in control of the Provider shall be handled by the <br /> Municipality in accordance with applicable federal and state law. <br /> E. In the event of a transfer of a Franchise Agreement or ompetitive Video Service <br /> Agreement, the transferee or assignee must agree, in writing, to be ound by the terms of the <br /> Franchise Agreement or Competitive Video Service Agreement subje to applicable law. <br /> 16.
