11. Inasmuch as in ihe rendering of Services hereunder, CURRY, may acquire <br /> confidential information and data concerning the business and operations of, or <br /> belonging to TIIE CLIENT, and additional information and data will bc made <br /> available to or developed by CURRY agrees to treat and maintain all such <br /> information and data as THE CLIENT's confidential property and not to divulge <br /> it to others at any time or use it for private purposes or otherwise, except as such il <br /> use or disclosure may be required in connection with performance of the services , <br /> or as may be consented to by THE CLIENT unless and until such information �, <br /> becomes a part of the public domain or CURRY, legally acquires such i <br /> information without restriction on disclosure from sources other than THE �' <br /> CLIENT or other companies with whom THE CLIENT has a business <br /> relationship. <br /> 12. CURRY is and shall act as an independent contractor in performing Services <br /> hereunder. <br /> 13. This Agreement shall be personal to the parties hereto and no party shall (by <br /> operation of law or otherwise) transfer or assign its rights or delegate its <br /> performance hereunder; and any such transfer, assignment or delegation shall be <br /> void and of no effect, unless said transfer or assignment is agreed to by both <br /> parties. <br /> 14. This Agreement shall be governed by and construed in accordance with the laws <br /> of the State of Illinois, without giving effect to principles respecting conflicts of <br /> laws. <br /> 15. This document constitutes the entire agreement between the parties hereto. <br />
