This Lease shall be binding upon the parties and their successors and assigns. Nothing contained in this Lease shall restrict Municipality's right to assign this Lease in Municipality's sole discretion, and in the event of such an assignment, the assignee shall be considered the Municipality hereunder for all purposes. Municipality shall promptly notify Developer of any assignments, including the name and address of the assignee. Further, nothing contained in this Lease shall restrict Developer's right to enter into agreements with its anchor tenant Regions Bank, N.A., Consociate, Inc., Dansig, Inc., and other tenants of the building constructed ' on the Premises to sublease the parking spaces leased to Developer �� hereunder, so long as the payment terms do not exceed that which is specified in paragraphs 1 and 2 above. 8. The relationship of the parties under this Lease shall at all times be regarded as that of landlord and tenant and not that of principal and agent, partnership,joint venture, or any other relationship. 9. The Effective Date of this Lease shall be the date first written above. 10. Each of the above said parties represents and warrants that each of the above said parties has the right and legal authority to execute this Lease. Each of the above said parties further acknowledges and represents to one another that the representatives who execute this Lease have the authority under the law to execute this Lease and to bind their respective principals to the obligations under this Lease and further, that any legal requirements conferring authority upon the representatives who execute this Lease have been met by each of the respective parties as required by law.
