i � . <br /> I STARCOM21 SYSTEM MANAGEMENT AGREEMENT <br /> THIS �GREEMEPIT (the "A�reement") is made and entered into as of <br />' , 200 (the "Effective Date"), by and between Motorola, <br /> Inc., a Delaware Corporation ("Motorola") and ("Licensee"). This <br /> Agreement is subject to acceptance by Motorola. <br /> RECITALS <br /> WHEREAS Motorola is in the business of designing, establishing and operating <br /> wireless communications systems; and <br /> WHEREAS, Motorola manages a shared, wide-area 700 and 800 MHz trunked <br /> voice radio system throughout Illinois (the "Wide-Area Network" or "System") in <br /> accordance with certain standards and requirements set forth in Motorola's agreement <br /> with the State of Illinois, known as the STARCOM21 Contract (the "State Contract"); <br /> and <br /> WHEREAS Licensee has been issued the necessary licenses (collectively with <br /> any related future authorizations, the "Licenses") by the Federal Communications <br /> Commission (the "FCC") to operate 700 and 800 MHz frequencies in Illinois that <br /> Licensee desires to incorporate into the System. A schedule of the Licenses that Licensee <br /> currently holds are listed on Attachment A; and <br /> WHEREAS Licensee desires to enter into a management arrangement with <br /> Motorola and Motorola desires to assist Licensee in Licensee's continued operations <br /> under the Licenses (the "Licensed Operations"), in accordance with all applicable rules <br /> and regulations of the FCC including the requirements of Section 90.179(d) (collectively, <br /> the "FCC Rules"); and <br /> WHEREAS the parties hereto wish to document in this Agreement the terms and <br /> conditions by which Motorola will manage the Licensed Operations on behalf of <br /> Licensee; and <br /> WHEREAS Licensee and Motorola are familiar with the FCC Rules applicable <br /> to the Licensed Operations, and it is the intention of the parties hereto that this <br /> Agreement not diminish any of Licensee's duties and/or responsibilities as an FCC <br /> • licensee; and <br /> WHEREAS, by separate agreement (called a "User Agreement"), Licensee may <br /> contract with Motorola to provide service on the Wide-Area Network or access to certain <br /> parts of the Wide-Area Network pursuant to the terms of the User Agreement; <br /> 5-20-08 <br />
