. � <br /> The Power Price in Table 1 does not include any charges by the DSP,which aze the responsibility of Customer, including,but not <br /> limited to: chazges for services under its applicable delivery service tariffs and riders, such as delivery service charges, facilities <br /> chazges,taxes(either billed for by the DSP or customer self-assessed),environmental,public purpose program,or switching charges, <br /> as may be applicable from time to time. <br /> Transmission: Customer acknowledges that AEM will incur charges on Customer's behalf to deliver Retail Power to the Delivery <br /> Point including, charges for MISO transmission and ancillary services ("MISO Tr�nsmission Charge") and MISO energy market <br /> charges ("MISO Settlement Adjus�nent Chazge("MSAC")"),all of which are based upon the current applicable MISO Transmission <br /> Energy Market Tariff("TEMT")and MISO Business Practices Manuals,and all applicable costs associated with these charges are the <br /> responsibility of the Customer. Such charges aze set forth in Table 1 and apply to all Retail Power covered under this Agreement. If <br /> the applicable T'EMT, MISO Business Practices Manuals, successor transmission tariffs or business practices are amended or <br /> otherwise implemented during the Term of this Agreement,notwithstanding the terms and conditions of Secrion 7 of the Agreement, <br /> AEM will change the Transmission Charge, the MSAC, and/or add or reduce such charges as applicable, incurred on Customer's <br /> behalf to comply with the hansmission taziffs and business practices in effect during the corresponding period. <br /> Term:Retail Power delivery begins and ends with the regularly scheduled meter reading date,as defined by the DSP Bill Group,for <br /> the month noted under Power Delivery Begins and Power Delivery Ends in Table 1, unless Customer and AEM mutually agree to <br /> extend the Term of this Agreement in writing. <br /> Mazimum Contract Demand: The prices in this proposal aze based upon a maximum annual demand of 4,351 kW for all metered <br /> accounts. However, for the purposes of this section, AEM will not measure all of the metered accounts but only measure the <br /> individual peak demands for the interval metered account idenrified by the DSP as DS-4 rate class,as defined in Table 2,("Maximum <br /> Conlract Demand'�,which are based on upon Customer's historical or projected peak demand as defined in Table 2. If,during We <br /> Term of this Agreement, Customer's peak hourly demand exceeds the Maacimum Contract Demand during any billing period, <br /> C�xstomer will compensate AEM for the addirional capacity and energy("Excess Energy")associated with such event. The price for <br /> Excess Energy shall be determined by applying a chazge of$0.15 per kilowatt-day ("kWda}�') in the months of June through <br /> Septe�nber,or$0.075 per kWday in the remaining months,to the incremental capacity on each day Customer exceeds the M�imum <br /> Contract Demand,plus mulripiying the incremental energy in each hour the Malcimum Coniract Demand is exceeded times the MISO <br /> Day Ahead Locational Marginal Price ("DALMP") for the Illinois Hub. The DALMP shall be adjusted to account for distribution <br /> losses,tiansmission losses,and congestion. <br /> Customer may apply to change the Malcimum Contract Demand with 60 days'written notice.As soon as practicable,but prior to the <br /> end of the 60 day notification period AEM will either elect to maintain the existing Power Price or offer Customer a revised Power <br /> Price that takes into considerarion the remainder of Term, and the current mazket values for the incremental capacity, energy, and <br /> transmission,for Customer approval and incorporation into the Agreement. <br /> Changes in Consumption: C�stomer will provide AEM advanced notificarion of any planned shut-downs or known or anticipated <br /> " changes to Customer's operarions tl►at will have an impact on AEM's ability to accurately forecast Customer's load. AEM may <br /> incorporate a request that Customer provide a periodic production or load forecast to aid in forecasting Customer's load requirements <br /> as part of the terms of this Agreement. <br /> Historical or Projected Load Data: The Power Price(s) in Table 1 are based upon C�stomer's historical or pmjected load clata,as <br /> detailed in Table 2,which is considered representarive of the service locarion'(s)Retail Power requirements for the proposed Term. <br /> FP.TI2.CIPS.07.3 PnG�2 of 12 Confidential Document—See Sec.4 <br />
