To indemnify and hold harmless the City of Decatur, and its officers and its <br /> employees, from and against all liability, claims, demands and expenses, <br /> including court costs and attorney fees, on account of any injury, loss or <br /> damage which arise out of or are in any manner connected with the work to <br /> be performed under this Agreement, if such injury, loss or damage is caused <br /> in whole or in part by, or is claimed to be caused in whole or in part by the <br /> negligent acts, errors or omissions of PWC, any Subcontractor of PWC, or <br /> any officer, employee or agent of PWC. The obligations of this Section shall <br /> not apply to damages which the City of Decatur shall become liable by final <br /> judgment to pay to a third party as the result of the negligent act, error or <br /> omission of the City of Decatur, its officers, employees or agent of the City of <br /> Decatur. <br /> 5. All work to be billed on a time and material basis not to exceed $7,500. <br /> CITY OF DECATUR AGREES <br /> 1. To provide PWC with copies of all contract documents including all insurance <br /> certificates, etc. <br /> 2. Tc provide copies of all approved contractors payments. <br /> 3. To include PWC copies of all of the contractors correspondence. <br /> 4. To make payment within 30 days of invoicing with progress invoices submitted <br /> monthly. <br /> Please advise if you have any questions or if any additional information is required. I <br /> have provided a space at the bottom left for signature by the Mayor if this proposal is <br /> acceptable.
