R2007-211 AUTHORIZING EXECUTION OF SETTLEMENT AGREEMENT

ACCEPTANCE AND AGREEMENT Comcast Corporation ("Comcast"), and Insight Communications Midwest, LLC ("Grantee") a subsidiary of Insight Communications Company, L.P. ("Insight") hereby accept Resolution No. ("Resolution") and agree to be bound by the terms and conditions of this Resolution and the terms and conditions of the Franchise referenced within the Resolution. Neither the Transaction nor the City's approval of the Transaction shall in any way impact the pending renewal process in the City. The Needs Assessment, Proposal, Preliminary Assessment and all discovery, documents, exhibits and witnesses previously submitted as part of the Hearing shall not be modified or altered in any way as a result of the City's approval of the Transaction. The approval�of the Transaction shall not cause any delay in the conduct of the Hearing. The witness lists and exhibits already submitted shall not be further modified or supplemented (unless a designated witness is no longer available or no longer in a position to present evidence). The Hearing shall commence no later than October 15, 2007. Should unanticipated events arise causing an unavoidable further delay in the Hearing, and the Hearing proceeds after the close of the Transaction, Comcast will be the successor-in-interest to Insight and Grantee. Comcast or its subsidiary will defend the Proposal based solely upon the evidence previously submitted by Insight and Grantee provided, however, that the legal, technical and financial ability of Comcast, as opposed to Insight, will then be an issue. Comcast and Grantee agree that neither will seek to require further discovery, introduce new exhibits or witnesses, except with respect to Comcast's legal, technical and financial qualifications, nor modify the Proposal in any manner.
