ACCEPTANCE AND AGREEMENT <br /> Comcast Corporation ("Comcast"), and Insight Communications Midwest, LLC <br /> ("Grantee") a subsidiary of Insight Communications Company, L.P. ("Insight") hereby <br /> accept Resolution No. ("Resolution") and agree to be bound by the terms <br /> and conditions of this Resolution and the terms and conditions of the Franchise <br /> referenced within the Resolution. Neither the Transaction nor the City's approval of the <br /> Transaction shall in any way impact the pending renewal process in the City. <br /> The Needs Assessment, Proposal, Preliminary Assessment and all discovery, <br /> documents, exhibits and witnesses previously submitted as part of the Hearing shall not <br /> be modified or altered in any way as a result of the City's approval of the Transaction. <br /> The approval�of the Transaction shall not cause any delay in the conduct of the Hearing. <br /> The witness lists and exhibits already submitted shall not be further modified or <br /> supplemented (unless a designated witness is no longer available or no longer in a <br /> position to present evidence). The Hearing shall commence no later than October 15, <br /> 2007. <br /> Should unanticipated events arise causing an unavoidable further delay in the Hearing, <br /> and the Hearing proceeds after the close of the Transaction, Comcast will be the <br /> successor-in-interest to Insight and Grantee. Comcast or its subsidiary will defend the <br /> Proposal based solely upon the evidence previously submitted by Insight and Grantee <br /> provided, however, that the legal, technical and financial ability of Comcast, as opposed <br /> to Insight, will then be an issue. Comcast and Grantee agree that neither will seek to <br /> require further discovery, introduce new exhibits or witnesses, except with respect to <br /> Comcast's legal, technical and financial qualifications, nor modify the Proposal in any <br /> manner. <br /> Dated this day of , 2007 <br /> Comcast Corporation <br /> By: <br /> its: <br /> 1023119v1 2 <br />
