.� r <br /> MANAGEMENT AND LEASE AGREEMENT <br /> This MANAGEMENT AND LEASE AGREEMENT ("AgreemenY') is entered <br /> into by the City of Decatur, Illinois, ("Owner") and HORVE HOSPITALITY <br /> MANAGEMENT, INC., ("Horve") for the purposes of managing the property located at <br /> 4191 West US Route 36, Decatur, Illinois, commonly known as the Decatur Conference <br /> Center and Hotel ("Hotel"). For and in consideration of the Owner agreeing to allow <br /> Horve to manage and lease the premises of the Hotel for the purpose of managing said <br /> Hotel, and Horve agreeing to such, the parties agree to the following terms and <br /> conditions. <br /> ARTICLE I <br /> RIGHTS AND RESPONSIBILITIES OF OPERATION <br /> Section 1. Horve acknowledges and affirmatively represents that it is capable in <br /> all manners and respects to the complete management of the Hotel and acknowledges <br /> herein that the Hotel includes approximately Three Hundred Seventy (370) guest <br /> rooms, two (2) restaurants with only one currently operating, an entertainment and <br /> operating lounge, a swimming pool, exercise training facilities and approximately Fifty- <br /> Five Thousand (55,000) square feet of public meeting and convention space. Horve <br /> further acknowledges that the Hotel and facilities are fully equipped with fixtures, <br /> furniture and other property that are the property of the Owner and shall remain so <br /> throughout the term of this Agreement. <br /> 1 <br />
