i <br />� . <br /> AGREEMENT <br /> BETWEEN <br /> THE CITY OF DECATUR,IL <br /> AND <br /> THE CORRADINO GROUP,INC. <br /> THIS AGREEMENT, entered into this 17th day of D��• , 2006, by and between THE <br /> CITY OF DECATUR, IL (hereinafter referred to as the "City") and THE CORRADINO <br /> GROUP, INC. (hereinafter referred to as the "Contractor"), located at 200 South Fifth Street, <br /> Suite 200 North, Louisville, Kentucky 40202. <br /> WHEREAS, the City is seeking professional transportation planning services for a <br /> comprehensive review of its existing trolley services, and has issued a Request for Proposals <br /> (RFP) for such services; and <br /> WHEREAS, the Contractor submitted a proposal dated November l, 2006, and was selected as <br /> the successful respondent to provide the desired services; <br /> NOW, THEREFORE,the parties hereto agree as follows: <br /> 1. SCOPE OF CONTRACTOR'S SERVICES <br /> The Contractor shall perform for the City the technical services described in Appendix A, <br /> "Scope of Work," which is attached to and made a part of this Agreement. <br /> 2. PERSONNEL <br /> All services provided by the Contractor under this Agreement shall be performed by fully <br /> qualified and experienced personnel employed by the Contractor. The list of key personnel for <br /> this project is specified in Appendix D, "Key Personnel". If one or more personnel are unable to <br /> complete the assignments,personnel replacing them must possess comparable education, training <br /> and experience. Changes in personnel must be approved in advance and in writing by the City. <br /> The Contractor shall take direction from the City's Mass Transit Administrator. Lawrence J. <br /> Strange shall serve as the Contractor's Project Manager and shall be responsible for the <br /> Contractor's efforts under this Agreement. The Contractor's Project Manager shall not be <br /> replaced without the City's prior, written approval. <br /> 3. NON-ASSIGNMENT <br /> Contractor shall not assign nor sublet any of the work to be performed under this Agreement <br /> without the express written consent of the City, and any such assignment or subletting, whether <br /> expressly authorized by this Agreement or done with such consent, shall not relieve Contractor <br /> from its responsibility for the performance of its work hereunder in accordance with the terms <br /> hereof nor from its responsibility for the performance of any other of its obligations hereunder. <br /> Decatur Public Transit System 1 Trolley Study <br />
