shall pay the cost to record the deed with the Recorder of Deeds and any <br /> documents necessary to complete transfer of ownership, including lien releases. <br /> 7. Archway shall be under no obligation to conduct an environmental <br /> site audit to complete this transaction, and to the extent permitted by law, the City <br /> shall indemnify and hold Archway harmless from any and all claims alleging <br /> environmental defects on the property for activities conducted on the site by the <br /> City, its agents or assigns. <br /> 8. Notice given or required under this Agreement must be given in one <br /> of the following forms: <br /> (i) Personally; <br /> (ii) By certified mail, return receipt requested, properly addressed and all <br /> charges prepaid; or, <br /> (iii) By express delivery with charges prepaid and addressed to the <br /> appropriate party at the address set forth below. <br /> Notices shall be deemed to have been received on the date of personal service <br /> or the 3�d day following date postmarked. The City shall have, at its option, a 90 (ninety) day due diligence <br /> period in which to conduct reasonable investigation of the premises at 337 North <br /> Water Street for the purpose of evaluating environmenta�, health or public safety <br /> liabilities, property boundaries or encroachments and to assess the cost of <br /> demolition or rehabilitation of the premises. Owner shall permit the City and/or <br /> its agents to enter the premises during the due diligence period for the purpose <br /> of survey and evaluation.
