endorsements to the title insurance policy. Any fee for settlement of this <br /> agreement shall be divided equally between the parties. <br /> 7. No notices, suits or judgments relating to either of the premises have <br /> been received by either City or Meurlot. <br /> 8. City and Meurlot shall be responsible for accrued and unpaid general <br /> real estate taxes against the property up to the date of closing, if any. <br /> 9. At settlement City and Meurlot shall deliver to each other a Warranty <br /> Deed, conveying and relinquishing their respective interests in the properties, in <br /> such form and together with such documentation as shall be required for <br />�' recording said deed. Each party shall pay the cost to record their respective <br /> deeds with the Recorder of Deeds any documents necessary to complete <br /> transfer of ownership, including lien releases. <br /> 10. SELLER (City and Meurlot, respectively) shall be under no obligation <br /> to conduct an environmental site audit to complete this transaction, and to the <br /> fullest extent permitted by law, BUYER (City and Meurlot, respectively) shall � <br /> indemnify and hold SELLER (City and Meurlot, respectively) harmless from any 'i <br /> and all claims alleging environmental defects on the property. <br /> 11. Notice given or required under this Agreement must be given in one <br /> of the following forms: <br /> (i) Personally; <br /> (ii) By certified mail, return receipt requested, properly addressed and all <br /> charges prepaid; or, <br /> (iii) By express delivery with charges prepaid and addressed to the <br /> appropriate party at the address set forth below. <br /> Notices shall be deemed to have been received on the date of personal service <br /> or the 3�d day following date postmarked.
