, <br /> AMENDMENT TO OPERATION I <br /> AND <br /> EASEMENT AGREEMENT� <br /> THIS AMENDMENT TO OPERATION AND EASEMEN� AG EE�(ENT <br /> ("Amendment") is made and entered into as of the / day of � <br /> 2006 (the "Effective Date"), by and between TARGET��Z"C�RPORA , a innesota <br /> corporation ("Target") and the CITY OF DECATUR, an lllinois municipal corporation <br /> ("Developer"). <br /> WITN ESSETH � <br /> WHEREAS, Target and Developer entered into an Operation and Easement <br /> Agreement dated as of )anuary 7, 2004, recorded )anuary 8, 2004, in Book 3445 at <br /> Page 207 as Document No. 1647689 in the Macon County, Illinois Recorder's Office <br /> (the "OEA"), regarding the development and use of certain real property in Decatur, <br /> lllinois, as more particularly described in the OEA (the "Shopping Center"); and <br /> WHEREAS, at the time Target and Developer executed the OEA, (a) Target <br /> owned a portion of the Shopping Center which is referred to in the OEA and in this <br /> Amendment as the "Target Tract", and (b) Developer owned the remainder of the <br /> Shopping Center, which is referred to in the OEA and in this Amendment as the <br /> "Developer Tract"; and <br /> WHEREAS, after the OEA was executed and recorded, Developer sold two <br /> portions of the Developer Tract, the first portion of which was sold to Blackstone Group <br /> and is referred to in the OEA and in this Amendment as "Pad C", and the second portion <br /> of which is being sold on or about the date hereof to Olive Garden and is referred to in <br /> the OEA and in this Amendment as "Pad B"; and <br /> WHEREAS, the portion of the Developer Tract now owned by Developer is <br /> referred to in the OEA and in this Amendment as "Pad A"; and <br /> WHEREAS, the Developer Tract collectively consists of Pad A, Pad B and <br /> Pad C, which are more particularly described on the attached Exhibit "A", Exhibit "B" <br /> and Exhibit "C", respectively; and <br /> WHEREAS, the Target Tract, as described on Exhibit "D", is still owned by <br /> Target; and <br /> 06G0023 c4 <br /> 8/29/06, 8/31/06 <br />
