This Amendment is not intended to, and <br /> shall not be construed to, amend or modify the OEA in any manner except as specifically <br /> set forth herein, and shall be not be deemed to release or discharge any person or party <br /> from liability for all of the obiigations to be performed by such person or party under the <br /> OEA, except as specifically set forth herein. If there is any conflict between the provisions <br /> of the OEA and this Amendment, the provisions of this Amendment shall control. Except as <br /> :�mended and supplemented by this Amendment, the OEA is ratified by the parties and <br /> remains in full force and effect. <br /> Each of the parties represents and warrants that it has the full capacity, right, power _ <br /> and authority to execute, deliver and perform this Amendment, and all required actions, <br /> consents and approvals therefor have been duly taken and obtained. Furthermore, each of <br /> the parties represents and warrants that upon full execution of this Amendment, the OEA as <br /> amended by this Amendment shall be binding on all parties with any interest in their <br /> respective Tracts, including the holder of any mortgagee's interest. Each of the parties to <br /> this Amendment, as an Approving Party, warrants and represents that the terms and ' <br /> nrovisions of this Amendment will not either impose any materially greater obligation on <br /> any Tract represented by such Approving Party, or materially impair any right of a Parry , <br /> owning a Tract represented by such Approving Party without the consent of such Party <br /> 9. Counterparts. This Amendment may be executed simultaneously in , <br /> two or more counterparts, each of which shaU be deemed an original and all of which <br /> together shall constitute one and the same instrument. <br /> IN WITNESS WHEREOF, the Approving Parties have executed this <br /> Amendment to Operation and Easement Agreement effective as of the date first written <br /> above. <br /> [SIGNATURES ON FOLLOWING PAGES] <br /> 3 <br />
