<br /> sale and leaseback. consolidation or otherwise, or bv forced I
<br /> or involuntarv sale,without nrior consent of the Citv and �
<br /> then on such conditions as Citv mav nrescribe. not to be
<br /> unreasonablv withheld, and consistent with federal
<br /> brocedures �overnin�the same. Anv sale, transfer. or
<br /> assi�nment not made accordin�to the nrocedures set forth in
<br /> this Franchise shall render this Franchise void.
<br /> b. Anv sale. transfer, or assi�nment authorized bv the
<br /> Citv in comnliance with federal law shall be made bv a bill
<br /> of sale or similar document, an executed conv of which shall
<br /> be filed with the Citv within thirtv(301 davs after such sale,
<br /> transfer. or assiQnment. The Citv shall not withhold its
<br /> consent unreasonablv. The transferee must, at a minimum.
<br /> satisfv the le�al, financial, and technical aualifications as
<br /> established bv the Cable Act (47 U.S.C. &537), character
<br /> ualifications and anv other standard nermissible under
<br /> Anplicable Laws.
<br /> c. In no event shall a transfer of ownershin or Chan�e in
<br /> Control be annroved without the successor(s) in interest, if
