<br /> T13e references below relate to Insight's proposed revisions to the Cable Television Franchise
<br /> Ordinance("Ordinance") for the City of Decatur, Illinois ("City") and Insight Communications
<br /> Midwest, LLC ("Insight"),prepared by the City on February 21, 2006 and redlined by Insight on
<br /> Apri124,2006. Although Insight made numerous changes to the Ordinance this analysis will
<br /> focus solely on those proposals by Insight which are in conflict with the City's identified needs
<br /> and interests or otherwise unacceptable to the City.

<br /> The definition for"institutional network"which Insight
<br /> proposes to delete from the Ordinance was drafted to be '
<br /> consistent with 47 U.S.C. § 531(fl. The City's authority to
<br /> pursue an institutional network at the time of renewal is set ,
<br /> � forth in federal law at 47 U.S.C. § 541(b)(3)(D)as well as 47 ��,
<br /> U.S.C. § 531(b). Insight's elimination of this proposed
<br /> definition as well as the requirements of Section 7 contained
<br /> herein are inconsistent with the City's identified needs and
<br /> interests set forth in the City's Formal Needs Assessment
<br /> Report at Exhibit C—Network Connectivity Report,dated
<br /> August 12, 2004.
<br /> 10 3.8 Tree Trimming Insight's Proposal:
<br /> Grantee shall have the authority to trim trees on public
<br /> Rights-of-Way at its own expense as may be necessary to
<br /> protect its wires and facilities, subject to any required
<br /> supervision and direction by City.

<br /> Any trimming of trees by the Grantee in the Rights-of-Way
<br /> shall be subject to such generally applicable regulation as the
<br /> City manager or other authorized official may establish to
