desirable and in the best interest of the City to authorize the execution and delivery of one or I, <br /> more written directions of the City to the Escrow Agent: II <br /> Now,Tt�x�'oxE, Be It Ordained by the Council of the City of Decatur,Macon County, <br /> Illinois,in exercise of its home rule powers,as follows: I <br /> Section 1. That the preambles set forth above aze incorporated herein and made a part <br /> of this Ordinance; and that it is hereby found and determined that such execution and delivery of <br /> one or more written directions is necessary for the welfare of the govemment and affairs of the <br /> City, is for a proper public purpose or purposes and is in the public interest, and is authorized <br /> pursuant to the Act; and these findings and determinations shall be deemed conclusive. <br /> Section 2. That the Mayor, Treasurer or Finance Director of the City (each, a <br /> "Designated Representative") is hereby authorized to execute on behalf of the City and to <br /> deliver to the Escrow Agent one or more Supplemental Investment Directions (each a <br /> "Direction") in substantially the form attached hereto as Exhibit A or with such changes therein <br /> as shall be approved by the Designated Representative executing the same, with such execution <br /> to constitute conclusive evidence of his or her approval and the City's approval of any changes <br /> or revisions therein from the form of Direction attached hereto. <br /> Section 3. That the Designated Representative shall make appropriate provision for the <br /> sale or other disposition of such portion of the Initial Securities (as defined in the Direction) as <br /> they shall deem necessary and for the purchase and deposit, in lieu thereof,of other Government <br /> Obligations (the "Substitute Securities") bearing such higher yield as is determined to be most <br /> advantageous to the City. All costs incuned by the City in effecting the provisions of this <br /> Ordinance,including the fees and expenses of the City, escrow manager,legal counsel, financial <br /> advisor, accountants and the Escrow Agent shall be paid from monies made available to the City <br /> as a result of the disposition, purchase and substitution of the Government Obligations <br /> -2- <br />
