<br /> 14. NO PERSONAL LIABILITY. No member, officer, agent or employee of the
<br /> Authority, or their successors and assigns, shall be liable personally concerning any matters arising
<br /> out of or in relation to the undertakings or obligations set forth in this Agreement.
<br /> 15. INDEMNIFICATION.
<br /> (a) The Sponsor shall indemnify the Authority and the Authority's officers,
<br /> agents, employees, or servants against, and hold them harmless from, liabilities, claims,
<br /> damages, losses and expenses, including, but not limited to, legal defense costs, attorneys'
<br /> fees, and settlements or judgments, in any claim or lawsuit arising out of the Sponsor's
<br /> performance hereunder or any Homebuyer's actions in connection with any Project brought
<br /> against the Authority, or the Authority's officers, agents, employees or servants.
<br /> (b) If a claim or suit is brought against the Authority or the Authority's officers,
<br /> agents, employees or servants for which the Sponsor is responsible pursuant to
<br /> subparagraph(a) of this Paragraph 15, the Sponsor shall defend the Authority, at the
<br /> Sponsor's cost and expense, and will pay any resulting claims,judgments, damages, losses,
<br /> expenses or settlements against the Authority or the Authority's officers, agents, employees
<br /> or servants, including,but not limited to, attorneys'fees.
<br /> 16. AMENDMENT. This Agreement shall not be altered ar amended except in a
<br /> writing signed by the parties hereto.
<br /> 17. NOTICES. Any notices, demand, request or other communication that any party
<br /> may desire or may be required to give to any other pariy hereunder shall be given in writing (at the
<br /> addresses set forth below) by any of the following means: (a)personal service; (b) electronic
<br /> communication, whether by telegram or telecopier, together with confirmation of transmission;
<br /> (c) overnight courier; or (d)registered or certified United States mail, postage prepaid, return
<br /> receipt requested.
