APPLICABLE LAW <br /> Subject to Federal Law requirements found in Ezhibit A, all work done pursuant to this <br /> Agreement shall be controlled and governed by the laws of the State of Illinois and any <br /> actions related to this Agreement must be filed in a Federal court in the State of Illinois <br /> capable of hearing the case. <br /> 28. REQUIRED CLAUSES <br /> Appendix A, "REQUIRED CLAUSES", contains language required by the Illinois <br /> Department of Transportation and/or the U.S.Department of Transportation,Federal Transit <br /> Administration,to be included in any contract or subcontract funded in whole or in part with <br /> that agency's grant funds. The CITY and FIRST TRANSIT hereby agree to comply with the <br /> requirements contained in Appendix A. FIRST TRANSIT and any subcontractor shall insert <br /> in any subcontract arising from this Agreement the clauses set forth in Appendix A, along <br /> with their related certificates contained in Appendix B, plus a clause requiring the <br /> subcontractor to include these clauses and related certificates in any lower tier subcontracts. <br /> The clauses shall not be modified in any way except to identify the subcontractor who will be <br /> subject to the provision. FIRST TRANSIT shall be responsible for compliance by any <br /> subcontractor or lower tier subcontractor with these required clauses. <br /> 29. POLICY AND PROCEDURE MANUAL <br /> FIRST TRANSIT and Decatur Transit Management, Inc. shall at all times keep all of their <br /> employees informed of all applicable CITY rules and regulations, and po7icies and <br /> procedures, pertaining to the Transit System as contained in the Decatur Public Transit <br /> 12 <br />
