12. PURCHASING OF VEHICLES,EQUIPMENT AND SUPPLIES <br /> FIRST TRANSIT shall advise the CITY from time to time regarding the types,quantities and <br /> amounts of materials,supplies,tools and equipment,including vehicles,needed for use in the <br /> administration, operation or maintenance of the Transit System. Such purchases shall be <br /> made pursuant to the CITY's purchasing policies and procedures. The Transit System shall <br /> have full access to Corporate Purchasing Agreements available through FIRST TRANSIT. <br /> 13. AUDIT AND INSPECTION OF RECORDS <br /> FIRST TRANSIT shall permit the autharized representatives of the CITY, the State of <br /> Illinois,the Federal Transit Administration and the U.S. Comptroller General to inspect and <br /> audit all data and records of FIRST TRANSIT relating to its performance under the <br /> Agreement,and to copy or reproduce by any means whatsoever excerpts and transcriptions as <br /> reasonabi needed. The CITY shall retain ownership of all plans,specifications,and related <br /> Y <br /> documents. FIRST TRANSIT agrees to maintain all books, recards, accounts and reports <br /> required under this Agreement for a period of not less than three (3) years after the date of <br /> termination or expiration of this Agreement,except in the event of litigation or settlement of <br /> claims arising from the performance of this Agreement, in which case FIRST TRANSIT <br /> agrees to maintain same until all interested parties have disposed of all such litigation, <br /> appeals, claims or exceptions related thereto. BUDGET5 AND PROJECTIONS; FARES AND SCHEDULES <br />� FIRST TRANSIT agrees to prepare ar assist in the preparation of the necessary annual <br /> budgets and projections, as well as monthly financial and operating statements, as are <br />, required by the CITY. FIRST TRANSIT also agrees to furnish periodic reports and <br /> recommendations as are required by the CITY relating to service extensions,route planning, <br /> service policies, fares, and other matters relating to the operation of the Transit System. <br /> 15. FIRST TRANSIT EMPLOYEES <br /> FIRST TRANSIT shall be solely responsible for the compensation and benefits of FIRST <br /> TRANSIT's resident management personnel. Should there be a change in the resident <br /> management personnel, FIRST TRANSIT shall be responsible for all relocation expenses <br /> associated with such change. <br /> 16. THIRD PARTY LIABILITY <br /> The CITY shall indemnify, defend and hold harmless FIRST TRANSIT, its parent, <br /> subsidiaries, affiliates, officers, directors, shareholders, agents, servants, employees and <br /> assigns(collectively, "FIRST TRANSIT")from and against any and all loss,liability,claims, <br /> damage or expenses(including,but not limited to,reasonable attorneys'fees and court costs) <br /> arising out of,or related to,the management or operation of the Transit System,other CITY <br /> 7 <br />
