-� <br /> , 4 <br /> • for which the documentation submitted is incomplete or is in enor; <br /> • for which ride sharing was practical, as evidenced by the logs,but not chosen; <br /> • for which the fare charged exceeds the m�imum fare permitted under this <br /> Agreement; <br /> • or that violate any guideline or condition of Operation Uplift and/or this <br /> Agreement. <br /> C�►2. The City may suspend the Agreement with the Cab Company for a period of time for <br /> more serious or ongoing violations of Operation Uplift guidelines, for failure to provide <br /> on-time performance, and for any violation of Operation Uplift's operational requirements. <br /> No ride provided by the Cab Company during the suspension period shall be eligible for <br /> reimbursement <br /> �3. This Agreement shall be automatically and immediately suspended if the franchise or <br /> the license of the Cab Company to operate in the City is suspended. No ride provided by <br /> the Cab Company during the suspension period shall be eligible for reimbursement. <br /> �4. The Cab Company shall be excused for failure to meet its obligations under this <br /> Agreement if said failure is caused by reason of acts of God, strikes, labor disputes, or <br /> other occurrences over which the Cab Company has no control. <br /> MODIFICATION <br /> This Agreement may be modified from time to time to meet the changing transit needs of the <br /> City, or to create greater operating efficiency, or in response to state and federal regulations. <br /> �1. Any section of this Agreement may be modified by mutual consent of both parties. <br /> �Z. The City shall have the right to modify, without the consent of the Cab Company, the <br /> Operation Uplift guidelines, operational requirements, cash fares to be collected by the <br /> Cab Company, and such other conditions of this Agreement as may be required by <br /> changing circumstances, without placing an unreasonable burden on the Cab Company. <br /> TERMINATION <br /> This Agreement may be terminated under the following conditions: <br /> �1. This Agreement shall automatically and immediately terminate if the franchise or the <br /> license of the Cab Company to operate in the City is terminated or revoked. <br /> �2. One party or the other may elect to terminate this Agreement for convenience. The <br /> party wishing to terminate this Agreement shall give notice to the other party in writing of <br /> its intention and desire to terminate the same, not less than sixty(60) days prior to the <br /> desired date of termination. <br /> - 9 - <br />
