2. Representations in Support I <br /> In support of this agreement the City, the County, and the PBC make the following <br /> representations. <br /> (a) The City, the County, and the PBC are the only governmental entities that <br /> may be receiving benefit from the Series 2005 Bonds and no other governmental entities <br /> will receive benefit from the Series 2005 Bonds. <br /> (b} The allocation of 100% of the Series 2005 Bonds to the County and none <br /> of the Series 2005 Bonds to the City or to the PBC bears a reasonable relationship to the <br /> respective benefits of the County, the City and the PBC. <br /> (c) The County will use 100% of the facilities financed or refinance with the <br /> Bonds and the City and PBC will not use any portion of such facilities (other than the use <br /> by the PBC in canying out its purpose of assisting the County). <br /> 3. Due Authority. <br /> Each of the parties to this Agreement represents and warrants to the others that it has i <br /> taken all necessary corporate action to authorize the execution and delivery of this Agreement. <br /> 4. Agreement Effective. <br /> This Agreement is effective from the date when made and may not be revoked or <br /> rescinded without the consent of all of the parties. <br /> - 2 - <br />
