1. Allocation Made. <br /> For purposes of said Section 265(b)(3)(C), all (100%) of the Series 2005 Bonds <br /> shall be allocated to the County, and none of the Series 2005 Bonds shall be allocated <br /> to either the City or the PBC. <br /> 2. Representations in Support <br /> In support of this agreement the City, the County, and the PBC make the <br /> following representations. <br /> (a) The City, the County, and the PBC are the only <br /> governmental entities that may be receiving benefit from the Series 2005 <br /> Bonds and no other governmental entities will receive benefit from the I <br /> Series 2005 Bonds. ! <br /> b The allocation of 100% of the Series 2005 Bonds to the I�' <br /> � ) I <br /> County and none of the Series 2005 Bonds to the City or to the PBC I <br /> bears a reasonable relationship to the respective benefits of the County, ', <br /> the City and the PBC. <br /> (c) The County will use 100% of the facilities financed or ' <br /> refinance with the Bonds and the City and PBC will not use any portion of ', <br /> such facilities (other than the use by the PBC in carrying out its purpose of '� <br /> assisting the County). <br /> 3.
