circuxnstances to resolve the issues resulting in such disapproval. A spirit of good faith and a <br /> mutual desire for the success of the Revitalization shall govem the Parties'relationship under this <br /> Agreement. The City shall be copied on any information or documentation communicated between <br /> DHA and the Developer regarding the Revitalization of a material or substantial nature or as <br /> otherwise required to be communicated under this Agreement. In any event,this Section does not <br /> obligate any of the Parties to commit any funds beyond those contemplated elsewhere in this <br /> Agreement. <br /> 1.5.1 Working Group Establishment; Consultation. DHA, the City, and the <br /> Developer agree to establish a Working Group for the purpose of consultation with Stakeholders and <br /> which,at a minimum,shall consist of(1)a"Steering Committee"comprised of DHA,the City,and <br /> the Developer,and(2)a representative or representatives of resident organizations representing the <br /> residents and former residents of the Longview Place public housing development. The Working <br /> Group shall meet at least quarterly and such other times as may be needed for consultation over the <br /> future plans and progress of the Revitalization, including,among other things,the progress of each <br /> Component of the Revitalization, planned applications and/or efforts to obtain funding for each <br /> Component,proposed submissions to HUD, and community and supportive services activities. <br /> The Working Group shall perform only a consultative and advisory role. Where any matter <br /> set forth in this Agreement requires the approval of a Party, the Working Group shall not have <br /> ultimate approval authority over such matters. Such approval authority will vest in the appropriate <br /> member of the Steering Committee in accordance with the terms of this Agreement. Except as <br /> specifically provided elsewhere in this Agreement,where either DHA or the City provides funding <br /> for a Component, the DHA or the City (as appropriate) shall have approval authority over <br /> applications, drafts, and other submissions in connection with that Component, subject to HUD <br /> review and approval, as appropriate. <br /> 1.6 Communications. In connection with the revitalization process,the Parties will keep <br /> each other informed of all material events, information and communications relating to the <br /> Revitalization. DHA or its designees shall take the lead in all communications with HUD,except as <br /> mutually agreed between the Parties. DHA shall during the term of this Agreement retain a <br /> Program Management Technical Assistance Provider to work with Developer in connection with its <br /> management obligations(the"PMTAP"). DHA shall notify the City in writing prior to any meeting <br /> between DHA(and/or PMTAP)and the Developer concerning the Revitalization,and the City may <br /> attend such meeting,at its election. The City has retained the City Mixed Finance Consultant. The <br /> notices to the City shall be sent as set forth in Section 13.1 hereof. As of the Effective Date,DHA <br /> has appointed TAG Associates of Illinois,Inc.,as its PMTAP.
