2.1.3 Financing. Except as otherwise provided for herein, Developer shall be <br /> responsible for identifying,applying for,and obtaining all Other Financing necessary to complete the <br /> Revitalization. <br /> 2.1.4 Taa Credit Application Submission(s). <br /> 2.1.4.1 Application for Low Income Housing Taz Credits. Developer will <br /> prepare and submit to IHDA, in the time and in the manner provided in Exhibit F, applications <br /> seeking reservations of Low Income Housing Tax Credits and/or the issuance of bonds(pursuant to <br /> Section 146 of the Intemal Revenue Code as part of the State of Illinois's volume cap)for the Phase II <br /> Rental Component and Phase III Rental Component. <br /> DHA and/or the City will execute such assurances or instruments in support of the <br /> application(s) as may be reasonably necessary, including (but not necessarily restricted to) the <br /> Conveyance Documents.DHA and/or the City will not take action with regard to the application(s), <br /> except in coordination with Developer. <br /> 2.1.4.2 Selection of Equity Investor. Developer shall be responsible for the <br /> syndication of any Low Income Housing Tax Credits or other tax benefits received with respect to the <br /> Revitalization,shall be responsible for the tax and fmancial structuring of the syndication offerings, <br /> preparing the detailed fmancial projections, and preparing preliminary offering documents. Final <br /> selection of all Equity Investors shall be made by Developer,subject to approval by the DHA,which <br /> approval shall not be unreasonably withheld. <br /> 2.1.5 Monthly Status Reports and Information. No later than the 15th of each <br /> month during the Term of this Agreement,Developer shall provide DHA and the City with a written <br /> progress report of the previous month in such form as may reasonably be required by DHA and,with <br /> respect to the City, in electronic form as well. Such reports shall include, but are not limited to, <br /> Developer and subcontractor work completed, a list of any current and outstanding issues to be <br /> addressed by DHA and/or the City,budget status including a comparison of actual versus budgeted <br /> expenses, status of milestone achievement, explanations for any delays, and, as necessary,revised <br /> budgets. <br /> 2.1.6 Quarterly Status Reports and Information. No later than the 15th of each <br /> month following the end of any calendar quarter during the Term of this Agreement,Developer shall <br /> provide DHA and the City with a written progress report of the previous quarter in such form as may <br /> reasonably be required by DHA and the City. Such progress reports shall, with respect to <br /> Developer's obligations, cover all topics required to be included in DHA's quarterly narrative <br /> performance report to HUD, as required under Article XII of the HOPE VI Grant Agreement, <br /> including the status of all Revitalization activities. Such reports shall also include documentation of <br /> compliance with applicable employment and contracting requirements, including Section 3 <br /> employment and contracting, and an update of the Performance Milestones and the Revitalization <br /> Budget, including a comparison of actual versus budgeted expenses. In addition, Developer shall, <br /> upon reasonable request by DHA or the City, furnish DHA and the City with copies of any work <br /> product and/or deliverables prepared by Developer or its Contractors (not including Developer's <br /> attorneys' work product) in connection with development activities pursuant to this Agreement. <br /> 10 <br /> INDY 1566592v.2 <br />
