this will also facilitate its objective to serve the residents of the Impact Area. DHA and the City now <br /> desire to develop two additional portions of the Impact Area legally described on E�chibit A-2 (the <br /> "Phase II Site") and Exhibit A-3 (the "Phase III Site"). <br /> F. DHA conducted a competitive selection procedure for a developer for the Phase I <br /> Site,including the development of up to 300 rental units,utilizing a Request for Qualifications dated <br /> July 5,2001 (the"RFQ"),to which East Lake responded by proposal(the"Proposal")dated August <br /> 6,2001. Pursuant to the RFQ,DHA selected East Lake as Developer for the Phase I Site. Because <br /> of satisfactory performance on the Phase I Site,DHA in collabora.tion with the City has selected East <br /> Lake as Developer for the Phase II Site and the Phase III Site subject to the negotiation of a <br /> satisfactory development agreement by all Parties ("Agreement"). <br /> G. Developer and DHA agree that the involvement of tenants and tenant organizations in <br /> the Revita.lization is essential to the success of the Revitalization. Accordingly, Developer shall <br /> work with DHA and the HOPE VI Advisory Boazd to support tenant involvement and to promote a <br /> tenants'association for all residents in the revitalized units. <br /> H. This Agreement covers the Phase II Site and the Phase III Site. <br /> I. The City is entering into this Agreement in order to effectuate the City's prunary goals <br /> and obligations (not in order of importance)of(a)facilitating the Revitalization undertaken by the <br /> DHA and the Developer in a manner that results in a quality housing product for each Component, <br /> (b)along with DHA and the Developer,guaranteeing that PHA-Assisted Units within Phase II and <br /> Phase III will operate subject to all Public Housing Requirements, (c) assisting DHA and the <br /> Developer in conforming to the milestones and schedules set forth in Exhibit F hereto, (d) being <br /> apprised fully of the development progression of the Revitalization,(e)conveying the City Parcels in <br /> a manner, and subject to conditions, acceptable to the City, and (fl providing funding for the <br /> Development as provided herein. <br /> NOW, THEREFORE, for and in consideration of Five Dollazs ($5.00) and the mutual <br /> obligations of the parties hereto,and other good and valuable consideration,the receipt and adequacy <br /> of which aze hereby acknowledged by the City,DHA and Developer,the City,DHA and Developer <br /> hereby agree as follows: <br /> ARTICLE 1. ENGAGEMENT; REOUIRED TERMS <br /> 1.1 Recitals,Defined Terms and Eahibits. The foregoing recitals as well as a11 exhibits <br /> attached to this Agreement aze true and conect and aze incorporated herein by reference as the <br /> agreements of the Parties. Exhibit B contains definitions for certain capitalized terms used herein; <br /> other capitalized terms are defined where they first appear in the text of this Agreement. <br /> 1.2 Contract Documents. The RFQ, the Proposal, the Revitalization Plan and this <br /> Agreement are collectively refened to herein as the "Contract Documents." To the extent that <br /> there is any ambiguity or conflict between or among any two or more of the Contract Documents,or <br /> internally within any one of the Contract Documents, this Agreement shall prevail. None of the <br /> Contract Documents shall be construed to supersede the terms of the HOPE VI Grant Agreement or <br /> 2 <br /> INDY 1566592v.2 <br />
