D. Provide detailed accounting of all funds. <br /> The promises and covenants of this paragraph, specifically shall survive the term <br /> of this Agreement. <br /> 19. ONT A T <br /> The sub recipient may not subcontract any portion of this Agreement nor delegate any <br /> duties hereunder without prior written approval. In emergencies,the sub recipient may <br /> request approval in writing within 7 days of the use of a subcontractor to fulfill any <br /> obligations of this Agreement. Approved subcontractors shall adhere to all other <br /> provisions of this Agreement. <br /> 20. 1_NTERNET ACCE�S <br /> The sub recipient must have Internet access. Internet access may be either dial-up or high <br /> speed/DSL. The sub recipient must maintain, at a minimum, one business e-mail address that <br /> will be primary receiving point for all e-mail correspondence for the Department and the city. <br /> The sub recipient may list additional addresses at contact execution. The additional addresses <br /> may be for a specific department/division of the sub recipient or for specific employees of the <br /> sub recipient. During any period that the Department (DHS)/city directly funds the sub <br /> recipient's Internet service, the sub recipient must use the Department (DHS)-assigned e-mail <br /> address as their primary e-mail address. The sub recipient must notify the Departmendcity of any <br /> e-mail changes within five(5)business days from the effective day of change. <br /> 21. NOTT F OF H N <br /> The sub recipient shall give 30 days prior written notice to the city(contact person[s] <br /> listed on Attachment[s]), if there is a change in the sub recipient's legal status, federal <br /> employment identification number(FEIN) or address. The city reserves the right to take <br /> any and all appropriate action. <br /> The sub recipient agrees to hold harmless the City of Decatur and the Department of <br /> Health Services, for any acts or omissions by the city. <br /> In the event the sub recipient, it parent or related entity,becomes a party to any litigation, <br /> investigation, or transaction that may reasonably be considered to have a material impact <br /> on the sub recipient's ability to perform under this Contract, the sub recipient will <br /> immediately notify the city in writing. <br /> 22. ASSIGNMENT <br /> The sub recipient understands and agrees that this Agreement may not be sold, assigned, <br /> or transferred in any manner, to include an assignment of the sub recipient's rights to <br /> receive payment hereunder, and that any actual or attempted sale, assignment, or transfer <br /> without the prior written approval of the city shall render this Agreement null, void, and <br /> of no further effect. <br />
