any Federal contract,the making of any Federal grant,the making of any Federal loan,the entering into of any
<br /> cooperative agreement, and the extension,continuation,renewal,amendment or modificarion of any Federal
<br /> contract, grant, loan, or cooperative agreement.
<br /> (2) If any funds other than Federal appropriated funds have been paid or will be paid to any person for
<br /> influencing or attempting to influence an officer or employee of any agency,a Member of Congress,an officer or
<br /> employee of Congress,or an employee of a Member of Congress in connection with this Federal contract,grant,
<br /> loan, or cooperative agreement,that undersigned shall be complete and submit Standard Form-LLL, "Disclosure of
<br /> Lobbying Activities," in accordance with its instrucrions.
<br /> 14. The Contractor hereby aclaiowledges that:
<br /> (i) The proposed transfer of development and/or operating assistance to Owner shall not be deemed to be
<br /> an assignment of development and/or operating assistance and that,accordingly, [insert same name as above] shall
<br /> not succeed to any rights or benefits of the DHA under the ACC,the Mixed Finance ACC Amendment, or any
<br /> HOPE VI grant agreement,nor shall it attain any privileges, authorities,interests,or rights in or under the ACC,the
<br /> Mixed Finance ACC Amendment,or any HOPE VI grant agreement;and
<br /> (ii) Nothing in the ACC,the Mixed Finance ACC Amendment,any HOPE VI grant agreement,or any
<br /> other agreement or contract between the parties shall be deemed to create a relarionship or third-party beneficiary,
<br /> principal and agent, limited or general partnership,joint venture,or any associarion or relationship involving HLJD.
<br /> 15. Contractor hereby certifies that:
<br /> (i) the information contained in this Exhibit is true and accurate,to the best of its knowledge;
<br /> (ii)it has received the following waming:
