Termination Program <br /> The parties hereby terminate Customer's license to use Laptop Mobile Software (Terminated Program) licensed by means of <br /> Schedule A-Pricing and Payment Schedule number DECA-9702012 dated March 18, 1997. Customer agrees to destroy or <br /> return the Ternunated Program to HTE. <br /> Each pariy hereby releases, acquits and discharges the other party of and from any and all claims, debts, demands, rights of <br /> indemnification, and causes of action of whatsoever nature, whether in contract or otherwise, whether arising under or by <br /> virtue of any statute or regulation,whether known or unknown,suspect or unsuspected,or whether having arisen or hereafter to <br /> arise for any losses or damages of which have accrued or may ever hereafter accnze to the other party, arising out of or on <br /> account of the Ternunated Program. <br /> Neither the fact of compromise, settlement and release, nor the payment, acceptance, or relinquishment of any consideration <br /> hereunder or under the Agreement, nor the execution of this Supplement shall be construed or taken in any way as an <br /> admission of fault, liability or responsibility on the part of HTE,and Customer,including its employees and agents,agree to so <br /> state in any communicarions, characterizations, and/or dissemination concerning this matter with any third party other than its <br /> attorney. <br /> Mobile Licensed Programs <br /> Unless otherwise specified herein, HTE does not represent that the radio frequency (RF) infrastructure (including traditional <br /> RF and other wireless infrastructures used for transmission of data now or in the future) used by Customer will work with <br /> HTE's mobile Licensed Program(s). Unless otherwise certified by HTE in writing,applications not owned or supplied by HTE <br /> may not be compatible with HTE mobile Licensed Program(s). HTE is not responsible for throughput of Customer's existing <br /> RF system, which is a Dataradio, 9.6 DMP system with a single BDLC. It is our experience with other similar Dataradio <br /> installarions that a 9.6 system will work with the HTE mobile applicarions, however,HTE strongly suggest Customer upgrade <br /> their Dataradio infrastructure to optimize the operarion of HTE's Mobile Data Browser and Field Reporting products. <br /> Customer is responsible for the coordination as well as all expenses associated with providing the wireless network connection <br /> to the HTE Message Switch. <br /> HTE Support Services <br /> The initial term of HTE support services shall commence upon the earlier of Go-Live or one hundred eight (180) days <br /> following execution of this Supplement and extend for a twelve (12) month term. Subsequent terms of support will be for <br /> twelve(12)month periods, commencing at the end of the initial support period. Support Services do not include maintenance <br /> on modificarions made to the Licensed Program(s)at Customer's request. <br /> Testing and Acceptance <br /> There is no Testing and Acceptance period on the Licensed Program(s)herein. <br /> Extended Warranty <br /> The Warranty as defined in the Agreement shall extend to a period of one hundred eighty(180) days following Delivery Date. <br /> "Delivery Date" shall mean the date HTE delivers, F.O.B. HTE's offices, the Licensed Program(s) to Customer. The date of <br /> such delivery shall be referred to as the "Delivery Date." For services, the "Delivery Date" refers to the date services are <br /> performed. <br /> Application Training <br /> Listed above are the numbers of days of training for the Licensed Program(s) listed. Addirional application training, if <br /> requested by the Customer,can be provided upon request at the standard billing rate in effect at that time. Any fee quoted does <br /> not include travel and living expenses. <br /> Project Management <br /> Project Management fees will be invoiced in the amounts and under the terms stated above. A mutually agreeable work plan <br /> will be created by the HTE Project Manager and the Customer. Additional Project Management, if requested by Customer, <br /> will be invoiced at the standard billing rate in effect at that time. Any fee quoted does not include travel and living expenses. <br /> Scheduled Resource Changes <br /> Customer acknowledges that HTE makes every effort to schedule training and project management sessions sufficiently in <br /> advance to make effective use of HTE's personnel and to obtain favorable prices for travel and living. Accordingly, the <br /> following cancellation charges apply to training and on-site project management sessions canceled at the request of Customer: <br /> Cancellation within seven(7)days of start date, Customer pays fifty percent(50%) of the total price for the training or on-site <br /> project management; cancellation within three (3) days of start date, Customer is responsible for entire price of the training or <br /> SunGard HTE Schedule A DECA-20030682-Schedule A.doc <br /> Ver.7/30/03 2 of 3 Revised Page 2 September 17,2003 <br />
