Termination Program The parties hereby terminate Customer's license to use Laptop Mobile Software (Terminated Program) licensed by means of Schedule A-Pricing and Payment Schedule number DECA-9702012 dated March 18, 1997. Customer agrees to destroy or return the Ternunated Program to HTE. Each pariy hereby releases, acquits and discharges the other party of and from any and all claims, debts, demands, rights of indemnification, and causes of action of whatsoever nature, whether in contract or otherwise, whether arising under or by virtue of any statute or regulation,whether known or unknown,suspect or unsuspected,or whether having arisen or hereafter to arise for any losses or damages of which have accrued or may ever hereafter accnze to the other party, arising out of or on account of the Ternunated Program. Neither the fact of compromise, settlement and release, nor the payment, acceptance, or relinquishment of any consideration hereunder or under the Agreement, nor the execution of this Supplement shall be construed or taken in any way as an admission of fault, liability or responsibility on the part of HTE,and Customer,including its employees and agents,agree to so state in any communicarions, characterizations, and/or dissemination concerning this matter with any third party other than its attorney. Mobile Licensed Programs Unless otherwise specified herein, HTE does not represent that the radio frequency (RF) infrastructure (including traditional RF and other wireless infrastructures used for transmission of data now or in the future) used by Customer will work with HTE's mobile Licensed Program(s). Unless otherwise certified by HTE in writing,applications not owned or supplied by HTE may not be compatible with HTE mobile Licensed Program(s). HTE is not responsible for throughput of Customer's existing RF system, which is a Dataradio, 9.6 DMP system with a single BDLC. It is our experience with other similar Dataradio installarions that a 9.6 system will work with the HTE mobile applicarions, however,HTE strongly suggest Customer upgrade their Dataradio infrastructure to optimize the operarion of HTE's Mobile Data Browser and Field Reporting products. Customer is responsible for the coordination as well as all expenses associated with providing the wireless network connection to the HTE Message Switch. HTE Support Services The initial term of HTE support services shall commence upon the earlier of Go-Live or one hundred eight (180) days following execution of this Supplement and extend for a twelve (12) month term. Subsequent terms of support will be for twelve(12)month periods, commencing at the end of the initial support period. Support Services do not include maintenance on modificarions made to the Licensed Program(s)at Customer's request. Testing and Acceptance There is no Testing and Acceptance period on the Licensed Program(s)herein. Extended Warranty The Warranty as defined in the Agreement shall extend to a period of one hundred eighty(180) days following Delivery Date. "Delivery Date" shall mean the date HTE delivers, F.O.B. HTE's offices, the Licensed Program(s) to Customer. The date of such delivery shall be referred to as the "Delivery Date." For services, the "Delivery Date" refers to the date services are performed. Application Training Listed above are the numbers of days of training for the Licensed Program(s) listed. Addirional application training, if requested by the Customer,can be provided upon request at the standard billing rate in effect at that time. Any fee quoted does not include travel and living expenses. Project Management Project Management fees will be invoiced in the amounts and under the terms stated above. A mutually agreeable work plan will be created by the HTE Project Manager and the Customer. Additional Project Management, if requested by Customer, will be invoiced at the standard billing rate in effect at that time. Any fee quoted does not include travel and living expenses. Scheduled Resource Changes Customer acknowledges that HTE makes every effort to schedule training and project management sessions sufficiently in advance to make effective use of HTE's personnel and to obtain favorable prices for travel and living. Accordingly, the following cancellation charges apply to training and on-site project management sessions canceled at the request of Customer: Cancellation within seven(7)days of start date, Customer pays fifty percent(50%) of the total price for the training or on-site project management; cancellation within three (3) days of start date, Customer is responsible for entire price of the training or SunGard HTE Schedule A DECA-20030682-Schedule A.doc Ver.7/30/03 2 of 3 Revised Page 2 September 17,2003
