3.2 Release. The Parties mutually agree that each Party, together with any corparate ' <br /> predecessor, parent, affiliate or successor, is completely discharged from any and all <br /> responsibilities with respect to the Carveout Area under the Site Participation Agreement, <br /> including those for Shared Costs and Past Costs, subject to the survival of the following <br /> provisions set forth therein: Article 9 Covenants Not to Sue and Reservation of Rights, Article ', <br /> 10 Confidentialitv, and Article 13 Miscellaneous. <br /> 3.3 Releases for Future Remedial Activitv. The Parties agree that the Ciry is I' <br /> completely discharged from any and all liability and responsibility for future remedial activity at <br /> the Carveout Area with the exceptions of liability to third parties for tort claims, and future � <br /> remedial activity caused or related to existing, undiscovered contamination or future <br /> contamination migrating from the City Property to the Carveout Area. Upon the filing of a No <br /> Further Remediation Letter from the State of Illinois under Title XVII of the Illinois <br /> Environmental Protection Act with the Macon County Clerk, the City releases and discharges <br /> each Party from any and all claims by the City for future remedial activity at the Carveout Area I <br /> with the exception of any claim premised upon any action by a government agency against the <br /> City seeking future remedial action at the Carveout Area. In the event that the City is the only �, <br /> party notified of such a government action, the City agrees to notify in writing the other Parties �� <br /> to this Agreement within 60 days of such action. I <br /> ARTICLE 4: ACCESS AGREEMENT ' <br /> 4.1 Access to or over City Prooertv. The City shall provide each of the other Parties <br /> and its contractors and subcontractors, all necessary and reasonable access to or over the City <br /> Properiy in order for the Parties to conduct remedial activity at the Carveout Area as necessary to <br /> obtain a No Further Remediation Letter from the State of Illinois under Title XVII of the Illinois <br /> 4 <br />
