� this limited warranty will be, at CONSLJLTANT's option, either (i) the return of the price paid for the <br /> Software or(ii) repair or replacement of the Software or the media that is returned to CONSULTANT. This <br /> limited warranty is void if the failure of the Software or media is due to accident, abuse, misapplication or <br /> unauthorized modification. Any replacement Software or media will be warranted for the remainder of the <br /> original warranty period or 180 days, whichever is longer. <br /> 15.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSULTANT <br /> DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMTTED <br /> TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR <br /> PURPOSE, WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN <br /> MATERIALS. CONSULTANT DOES NOT WARRANT THAT THE SOFTWARE WILL MEET <br /> CLIENT'S REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE <br /> UNINTERRUPTED OR ERROR-FREE, THAT THE SOFTWARE WILL OPERATE IN COMBINATION <br /> WTTH ANY OTHER SOFTWARE THAT CLIENT SELECTS FOR ITS USE, OR THAT DEFECTS OR <br /> ERRORS IN THE SOFTWARE WILL BE CORRECTED. CONSULTANT FURTHER DOES NOT <br /> WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF <br /> USE OF THE SOFTWARE OR ACCOMPANYING WRTTTEN MATERIALS WITH RESPECT TO <br /> THEIR CORRECTNESS, ACCURACY, RELIABII.TTY, OR OTHERWISE. NO ORAL OR WRITTEN <br /> INFORMATION OR ADVICE GIVEN BY CONSULTANT SHALL CREATE A WARRANTY OR IN <br /> ANY WAY INCREASE THE SCOPE OF THIS LIMITED WARRANTY. SOME STATES/ <br /> JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE <br /> EXCLUSION MAY NOT APPLY TO THE CLIENT UNDER SUCH CIRCUMSTANCES. <br /> 16 SUSPENSION <br /> 16.1 CLIENT may, at any time and without cause, suspend the Services of CONSULTANT, or any <br /> portion thereof for a period of not more than 90 days by notice in writing to CONSULTANT. <br /> CONSiJLTANT shall resume the Services on receipt from CLIENT of a written notice of resumption of the <br /> Services. If such suspension causes an increase in CONSiJLTANT's cost or a delay in the performance of <br /> the Services, then an equitable adjustment shall be made to the Compensation and Project Schedule, as <br /> appropriate. In the event that the period of suspension exceeds 90 days, the contract time and compensation <br /> are subject to renegotiation. <br /> 17 TERMINATION <br /> 17.1 CLIENT may ternunate all or part of this Agreement for CLIENT's convenience by providing 10 <br /> days written notice to CONSLTLTANT. In such event, CONSLTLTANT will be entitled to Compensation for <br /> the Services performed up to the effective date of ternunation plus compensation for reasonable termination <br /> expenses. CONSiJLTANT will not be entitled to compensation for profit on Services not performed. <br /> 18 DISPUTES RESOLUTION—ARBITRATION <br /> 18.1 Any dispute arising between the parties concerning this Agreement or the rights and duties of either <br /> party in relation thereto shall first be submitted to a panel consisting of at least one representative of each <br /> party who shall have the authority to enter into an agreement to resolve the dispute. The disputes panel shall <br /> be conducted in good faith,either physically or electronically, within two weeks of a request by either party. <br /> No written, verbal or electronic representation made by either party during the course of any panel <br /> proceeding or other settlement negotiations shall be deemed to be a party admission. <br /> 18.2 If the panel fails to convene within two weeks, or if the panel is unable to reach resolution of the <br /> dispute, then either party may submit the dispute for binding arbitration to be held in accordance with the <br /> Construction Industry Rules of the American Arbitration Association ("Association") in effect at the time <br /> 7 <br /> Consulting Services(CPFF)(Rev. 1-14-2003) <br />
